MVG's Role with RegalEarth Group:MVG serves as the dedicated management company for RegalEarth Group, a Dubai-based mining capital firm. In this capacity, MVG oversees strategic direction, corporate governance, and operational management for RegalEarth's portfolio and project companies.

We are currently supporting one of RegalEarth's project companies in hiring for this critical on-the-ground role in Somaliland.

POSITION OVERVIEW

The Legal & Compliance Consultant will serve as the local legal advisor for the Company’s mining and corporate operations in Somaliland. This hybrid, part-time consulting role is designed for an experienced legal professional capable of independently managing legal and regulatory matters while coordinating closely with the Hong Kong Legal & Compliance Department.

The successful candidate will ensure full compliance with Somaliland laws, government regulations, contractual obligations, and internal corporate governance standards.

KEY RESPONSIBILITIES

Legal Advisory

  • Provide practical, actionable legal advice on all local laws and regulations affecting the Company’s operations.
  • Monitor and interpret new legislation and regulatory developments impacting mining and foreign investment.
  • Advise management on legal risks and implement effective mitigation strategies.
  • Support corporate governance initiatives and ensure adherence to internal legal compliance protocols.

Regulatory & Compliance

  • Track legal and regulatory changes relevant to mining, labor, immigration, taxation, environmental compliance, and corporate registration.
  • Assist in obtaining, renewing, and maintaining permits, licenses, and regulatory approvals.
  • Conduct internal compliance reviews and legal risk assessments.
  • Ensure that all operations are consistent with Company policies and applicable local laws.

Contract Management

  • Draft, review, and negotiate a wide range of commercial agreements.
  • Review government contracts, service agreements, procurement contracts, and vendor documentation.
  • Support dispute prevention efforts and manage legal documentation across the organization.

Government & External Relations

  • Serve as the primary liaison with government ministries, regulatory authorities, legal institutions, and external counsel.
  • Coordinate legal submissions, official correspondence, and regulatory filings.
  • Support negotiations involving regulatory authorities and key strategic stakeholders.

Mining Legal Support

  • Advise on legal issues related to mining licenses, concession agreements, exploration rights, land access, environmental obligations, and mining regulations.
  • Support legal due diligence for mining projects and related investments.

Reporting & Coordination

  • Prepare legal opinions, compliance reports, and regulatory updates for internal stakeholders.
  • Report directly to the Hong Kong Legal & Compliance Department.
  • Coordinate with management teams in Somaliland, Dubai, and Singapore on legal matters as required.

QUALIFICATIONS

Education

  • Bachelor’s Degree in Law (LL.B.) or equivalent.
  • Admission to practice law in Somaliland is highly preferred.

Experience

  • Minimum of 7 years of post-qualification legal experience.
  • In-depth knowledge of Somaliland’s legal and regulatory frameworks.
  • Proven experience advising corporate or international clients.
  • Previous legal experience in the mining, natural resources, energy, infrastructure, or extractive industries is highly desirable.
  • Experience working with government authorities and regulatory agencies is an advantage.

Languages

  • Fluent English (written and spoken) is required.
  • Proficiency in Somali is mandatory.
  • Arabic is an advantage.

WORKING ARRANGEMENT

  • Occasional travel within Somaliland.
