Our legal team is a strategic business partner, working closely with leadership to enable innovation while managing legal and regulatory risks. We are seeking a commercially minded Legal Counsel who is intellectually curious, pragmatic, and thrives in a fast-paced, international environment.
Reporting directly to the General Counsel, you will provide practical, business-oriented legal advice across a broad range of corporate, commercial, technology, employment, privacy, compliance, and operational matters. You will partner with stakeholders across the organization and help build scalable legal processes that support the company’s continued growth.
Key Responsibilities
Commercial Contracts
- Draft, review, negotiate, and advise on a broad range of commercial agreements, including:
- Master Services Agreements (MSAs)
- Statements of Work (SOWs)
- SaaS and software licensing agreements
- Data licensing agreements
- Customer and vendor agreements
- Procurement agreements
- Non-disclosure agreements (NDAs)
- Partnership, reseller, and strategic alliance agreements
- Consulting and independent contractor agreements
- Employment-related agreements
- Other commercial and technology-related contracts
- Identify legal and commercial risks while providing practical, business-focused solutions.
- Develop and maintain contract templates, playbooks, negotiation guidelines, and internal legal resources.
Corporate & General Legal Support
- Provide day-to-day legal advice across multiple business functions.
- Advise on corporate governance, entity management, corporate restructurings, shareholder matters, board matters, and general commercial issues.
- Support strategic transactions, including mergers and acquisitions, investments, financing transactions, and other corporate initiatives as required.
- Coordinate and manage external counsel across multiple jurisdictions while ensuring cost-effective legal support.
Technology, AI & Data
- Advise on legal issues relating to:
- Artificial Intelligence
- Machine Learning
- Robotics
- Software products
- SaaS platforms
- Data licensing
- Data collection operations
- Intellectual property
- Cloud services
- Monitor and advise on emerging legal and regulatory developments affecting AI, data, software, and digital technologies.
- Partner with Product, Engineering, and Security teams to support product development while appropriately managing legal and regulatory risks.
Privacy & Compliance
- Support compliance with applicable privacy and data protection laws, including where relevant:
- GDPR
- Singapore PDPA
- CCPA/CPRA
- Other international privacy laws
- Assist in developing and implementing compliance policies and governance frameworks.
- Support compliance initiatives relating to anti-bribery, anti-corruption, sanctions, export controls, and corporate governance.
- Conduct legal research and prepare practical guidance on evolving regulatory developments.
Employment & Operational Support
- Review employment agreements and HR-related legal documentation.
- Support employment-related matters in collaboration with Human Resources and external counsel.
- Assist with internal investigations and employment disputes where necessary.
Risk Management & Strategic Partnership
- Proactively identify legal, regulatory, operational, and commercial risks.
- Deliver practical, solution-oriented legal advice that appropriately balances legal risk with business objectives.
- Exercise sound legal and commercial judgment, particularly where legal frameworks are evolving or guidance is limited.
- Build scalable legal processes and improve operational efficiency through standardization, automation, and continuous process improvement.
Cross-functional Collaboration
- Partner closely with Sales, Product, R&D, Operations, Finance, Human Resources, Information Security, and Executive Leadership.
- Deliver legal training and compliance awareness programs for internal stakeholders.
- Foster a culture of legal awareness and responsible risk management throughout the organization.
Qualifications
Required
- Bachelor’s Degree in Law (LL.B. or equivalent).
- LL.M. from an accredited U.S. law school or Juris Doctor (J.D.) from an accredited U.S. law school.
- Minimum three (3) years of relevant legal experience gained at:
- a recognized law firm; and/or
- a multinational corporation as in-house legal counsel.
- Fluent in both Chinese and English, can review and draft documents in both languages.
- Strong experience drafting, reviewing, and negotiating complex commercial agreements.
- Solid understanding of general corporate and commercial legal matters.
- Excellent legal drafting, analytical, and problem-solving skills.
- Strong business acumen and commercial awareness.
- Excellent written and verbal communication skills in English.
- Strong organizational skills with the ability to independently manage multiple priorities in a fast-paced environment.
- High ethical standards, professionalism, and attention to detail.
- Collaborative team player with excellent interpersonal skills.
Preferred
- Admission to practice law in at least one U.S. jurisdiction.
- Experience supporting technology, AI, robotics, SaaS, software, data, or digital platform businesses.
- Familiarity with AI governance, AI regulations, privacy, cybersecurity, and data protection laws.
- Experience supporting cross-border commercial transactions.
- Experience working in a high-growth startup or rapidly scaling technology company.
- Experience managing external counsel across multiple jurisdictions.
- Familiarity with contract lifecycle management (CLM) systems, legal operations, and AI-assisted legal technologies.
