Job Description
We are looking for an experienced legal professional with strong expertise in Venture Capital/Private Equity transactions. The role involves managing end-to-end legal documentation, regulatory compliance, legal due diligence, contract negotiations, and providing strategic legal support for investment and portfolio activities.
Key Responsibilities
- Draft, review, and negotiate investment transaction documents including SSA, SHA, SPA, and Term Sheets.
- Conduct and manage legal due diligence for investment opportunities.
- Review valuation reports from a legal and compliance perspective.
- Draft and review founder employment agreements and other employment-related contracts.
- Prepare, review, and negotiate commercial agreements, vendor contracts, service agreements (domestic and international), marketing contracts, and HR-related agreements.
- Ensure compliance with the Companies Act, FEMA, SEBI regulations applicable to AIFs, employment laws, and other relevant statutory requirements.
- Advise on investor rights, governance structures, and transaction-related legal matters.
- Coordinate with external legal counsels and internal stakeholders for transaction execution and compliance.
Requirements
- Bachelor's degree in Law (LLB).
- 5+ years of experience in Venture Capital/Private Equity legal roles.
- Strong experience with SSA, SHA, SPA, Term Sheets, and legal due diligence.
- Sound knowledge of Companies Act, FEMA, SEBI (AIF) regulations, and employment laws.
- Experience in drafting and negotiating commercial and employment agreements.
- Excellent contract drafting, negotiation, and stakeholder management skills.
