We are seeking a highly motivated and experienced Tax Associate Attorney to join our dynamic legal team. This role offers the opportunity to work on complex and high-profile matters across a wide range of industries, including mergers and acquisitions, financing transactions, joint ventures, and renewable energy projects. The ideal candidate will bring strong technical tax expertise, practical problem-solving skills, and a collaborative approach to client service.
Key Responsibilities:
Advise clients on the tax aspects of mergers and acquisitions, debt and equity financings, and portfolio investments.
Design and implement tax-efficient structures for joint ventures and other corporate transactions.
Provide state and local tax planning aligned with clients’ strategic business objectives.
Represent investment partnerships and their portfolio companies on fund formation, acquisitions, and dispositions.
Counsel developers and investors in renewable energy projects, including guidance on federal tax credits and incentives.
Serve as special tax counsel to law firms, accounting firms, and investment banks.
Work collaboratively with team members and spend approximately 60% of your time in-office, in alignment with firm policy.
Qualifications:
J.D. from an ABA-accredited law school; LL.M. in Taxation preferred.
Admitted or eligible for admission in New York.
5+ years of transactional tax experience in a law firm setting, with a strong focus on corporate and partnership taxation.
Background in energy, real estate, or international tax is a plus.
Strong written and verbal communication skills.
Professional demeanor and ability to build effective relationships with clients and colleagues.
Excellent organizational skills, attention to detail, and ability to manage multiple deadlines.
A collaborative spirit and ability to thrive in a team-oriented environment.
