About the role
Saturday Legal provides fractional general counsel services to high-growth companies and their investors. We help our clients take risk responsibly as they scale across corporate law, commercial contracts, employment, corporate governance, entity management, and state filings, along with all the venture and private financings that fuel growth. We utilize modern tooling, including AI, to do the work of a much larger team, and we’re looking for someone excited to build with us.
In this role you’ll support our lawyers on day-to-day corporate and transactional work, keep our clients’ back office and legal operations organized and diligence-ready, and own a wide range of financing, equity, knowledge management, and AI-related projects, many of which won’t be fully defined when they land on your desk.
To be clear about how we work: our attorneys are the ones practicing law and delivering to clients, and a lawyer reviews everything before it goes out. You would be the arms and legs of that team, driving the work forward day to day while an attorney backstops every deliverable. That is also why project-management ability matters so much here. It is how a lean attorney team supports many clients at once, and it is how you help the practice scale.

You will move among very different clients in a single day, often shaping the scope and building the process you need as you go. This role is likely a great fit if…
- You come from a high-volume corporate, emerging-companies, or venture practice where you supported many different clients at once, and are comfortable juggling context, clients, and deadlines.
- You have paralegal experience with real cap table and financing depth, but you’ve started to feel like the title undersells you. Instead, you want to own workstreams end to end and operate more like a legal project manager.
- You know equity cap tables cold and are an advanced Carta administrator.
- You want to flex an entrepreneurial muscle and help build a new kind of legal services business.

- You’re a strong communicator, at ease working internally with our team and externally with clients and cross-functional stakeholders across corporate, HR/employment, and governance matters.
- You’re genuinely comfortable with ambiguity and context-switching, and are energized by projects that aren’t yet fully defined.
In a typical week, you may…
- Manage the entire contract workflow; preparing and revising NDAs, commercial contracts, and HR/employment agreements from existing forms; distinguishing material vs. non-material issues; routing for approval and signature; filing finished contracts; and tracking key dates and closing deliverables.
- Update and maintain the library of form documents, contract clauses, financing playbooks, and cap table templates.
- Maintain corporate minute books; drafting written consents and board/shareholder resolutions for equity issuances, option grants, and venture financings; gathering approvals and signatures; and responding to internal and external requests for corporate records; keeping entities and governance documentation diligence-ready.
- Coordinate registered agent responsibilities and manage state corporate filings and annual reports for client entities, including formations, qualifications, withdrawals, and other lifecycle filings.
- Update and maintain the virtual data rooms used by external investors.
- Act as project manager across multiple legal initiatives and projects, often defining scope, structuring workstreams, and driving them to completion in ambiguous environments.
- Pitch in on legal assistant and administrative work as needed and stay responsive to emergent, not-yet-defined requests in a startup environment.
What you’ll need
- 5+ years at a major law firm or in-house legal department, with significant corporate/transactional experience (commercial contracts, employment, corporate governance, entity management/state filings) and exposure to M&A and/or financing transactions, including substantial exposure to venture capital or other private-company financings.
- Experience supporting many clients simultaneously is a strong plus.
- Hands-on experience managing equity cap tables, and advanced Carta administration experience, including primary and secondary financings, tender offers, and option plan administration.
- A track record of working independently, taking ownership, adapting to shifting priorities, switching contexts frequently, and taking initiative.
- Energized by working in a fast-paced, casual, often-ambiguous environment.
- Experience managing highly confidential information with professionalism and unquestionable integrity.
- Comfort and fluency with AI tools (Claude, ChatGPT, or similar), and real enthusiasm for working at a firm that leans on AI to do more with a lean team.
- Outstanding MS Office skills (Word, PowerPoint, Excel), plus Adobe (secure PDFs; redactions), Google Workspace, Microsoft SharePoint, and DocuSign.
- Paralegal certification a plus.
