Organization Overview
The Sensing Technologies Group (“STG”) is made up of several operating companies who together are seeking an experienced contracting professional to join our Legal team. STG will be part of Ralliant when the company is spun off from Fortive which is anticipated to be early in the third quarter of 2025. This is a critical position responsible for helping protect the company’s interests and achieve its objectives through supporting commercial transactions and legal operations.
This role reports into the Senior Corporate Counsel (“SCC”) and collaborates closely with STG Legal, Operations, Compliance, Finance, Sales, and others at all organizational levels and across multiple operating companies. Accordingly, the successful candidate must enjoy communicating and collaborating cross-functionally and interacting regularly with senior management. Role is remote though on-site options are possible, but not required, if the successful candidate lives within commuting distance of an STG location.
Position Overview
Assists the SCC and the legal team as a whole in the contracting process, including the negotiation, interpretation, and administration of all agreements between STG and its operating companies and third parties in order to successfully close transactions supporting the commercial objectives. Further assists in improving the processes and procedures relating to contracts and legal operations.
Essential Functions:
Help meet commercial objectives by drafting, reviewing, negotiating and advising on various types of commercial contracts, including but not limited to Sales (including resale and distribution), Services, Supply, Research, Development, Procurement, Non-Disclosure, and other commercial agreements, including escalation of issues when necessary.
Work collaboratively across the organization to implement, improve, and sustain best practices around contract review, negotiation, approval, and post agreement tracking processes.
Support evaluation, selection, and implementation of contract management software and AI enabled tools.
Provide guidance to Sales on contract theory and practices.
Evaluate requested changes to contract documents and playbooks and work with Subject Matter Experts and Approvers to create updates and execute requested changes.
Draft guidance and substantive positions for contract playbooks.
Provide advice and mentorship to junior members of sales teams on contracting issues.
Provide business oriented and pragmatic solutions for complex situations to meet business needs and maintain compliance with company policy and laws/regulations.
Support the legal function on special projects.
As team expands, manage, mentor, and support junior contract administration roles if and when they are added, to ensure their success.
Qualifications:
Bachelor’s degree from an accredited college or university.
Unquestioned integrity and excellent judgment including the ability to find pragmatic, business focused solutions.
Adaptable, strategic, innovative, and courageous, and a desire to be part of an extraordinary team that delivers results!
Minimum of 8+ years’ experience drafting, reviewing, negotiating and advising on a wide variety of contracts with a good understanding of contract principles.
Experience implementing, sustaining, and improving processes related to commercial contracting including playbooks, approvals workflows, and pre and post signing contract management.
Ability to communicate effectively with all management levels, functional teams, and third parties.
Working positively and productively in a team environment with strong oral and written communication, leadership, and people skills.
Managing competing priorities with strong project management and critical thinking skills.
