Khang Dien are seeking a capable and detail-oriented Legal Manager (M&A) to support sales and investment activities, ensuring compliance with applicable laws and safeguarding the Company’s interests throughout transaction processes.
Job Responsibilities
1. Sales Operations Legal
- Develop and implement plans to draft, review, and finalize legal documents related to sales transactions, transfers, and other business operations as required.
- Draft, revise, and standardize template documents supporting sales activities.
- Review, research, and develop legal procedures, documentation, and templates in accordance with approved policies and operational requirements.
- Provide legal advice on compliance matters and support the resolution of legal issues arising from sales operations and customer-related matters.
2. Investment Legal
- Provide legal consultation and handle legal matters arising from contracts and transactions related to investment activities.
- Conduct legal research and assess compliance with applicable laws to support departments in evaluating potential investment opportunities and protecting the Company’s interests.
- Participate in legal due diligence processes, including company due diligence, project reviews, and verification of conditions related to project or asset acquisitions/disposals in accordance with applicable regulations.
- Review the legal validity of documentation related to investment cooperation activities; provide recommendations and reports to the Management Board regarding the feasibility of proposed investment structures.
- Draft, review, and finalize agreements and supporting transaction documents to ensure compliance with legal requirements and approved structures.
- Coordinate and implement required procedures to complete transactions, including monitoring transaction milestones, preparing documentation at each stage, handling business registration procedures, and following up with partners to ensure timely execution.
Job Requirements
- Bachelor’s degree or above in Law.
- Minimum 5 years of experience in a similar position, preferably within real estate developers or project development companies, with a focus on Sales Legal and Investment Legal matters.
- Good command of English for professional working purposes.
- Strong attention to detail with the ability to work independently.
- Good organizational and coordination skills.
