Role Overview
At Canopy Life Sciences, we are a leading provider of clinical-to-commercial solutions, helping our clients speed their science from pipeline to people. As we continue to scale our end-to-end capabilities across Medical Affairs, MLR Solutions, Regulatory, and Commercial functions, we are seeking a highly pragmatic, business-minded Legal Counsel to join us on a part-time basis.
This role sits at the intersection of Commercial, Delivery, and Technology—supporting the legal infrastructure that enables growth while preserving the integrity, quality, and trust that define our work. You will play a critical role in shaping how we contract, partner, and operationalize data and technology in a highly regulated environment.
Key Responsibilities
Commercial Contracting (Enable Growth with Discipline)
- Draft, review, and negotiate a range of client and partner agreements, including:
- Master Services Agreements (MSAs)
- Statements of Work (SOWs)
- Non-Disclosure Agreements (NDAs)
- Subcontractor and partner agreements
- Provide clear, business-oriented guidance on risk allocation (liability, indemnification, IP, termination)
- Partner closely with Commercial and Delivery teams to enable deal velocity while maintaining appropriate governance
- Develop and refine contract templates, playbooks, and fallback positions to support consistency and scalability
Technology & Vendor Agreements (Power Our Platforms)
- Lead and support contracting for platforms, data providers, and technology partners
- Advise on licensing, service levels, data ownership, and integration frameworks
- Partner with IT and Security to ensure vendor agreements align with data integrity, confidentiality, and operational standards
- Support emerging product and platform initiatives (e.g., MLR innovation, workflow automation tools)
Data Privacy & GDPR (Protect What Matters Most)
- Provide guidance on global data privacy frameworks, including GDPR and U.S. regulations
- Support development and implementation of privacy policies, DPAs, and data governance practices
- Ensure privacy-by-design principles are embedded across client engagements and internal systems
- Partner cross-functionally to uphold Canopy’s commitment to content integrity and compliant operations
Training & Enablement (Elevate the Organization)
- Develop and deliver practical, business-focused training for Commercial, Delivery, and Operational teams
- Increase contract literacy and risk awareness across the organization
- Serve as a trusted advisor to leadership on evolving legal, regulatory, and market considerations
Qualifications
- Juris Doctor (JD) and active bar membership in good standing
- 8+ years of experience in commercial contracting (law firm and/or in-house)
- Experience in life sciences, healthcare, or other regulated environments strongly preferred
- Demonstrated expertise in:
- MSA and services contracting
- Technology and SaaS agreements
- Data privacy and GDPR
- Strong business judgment with a solutions-oriented, enabling mindset
- Ability to operate independently while influencing senior stakeholders
Preferred Experience
- Familiarity with life sciences platforms (e.g., Veeva) and commercial systems
- Experience supporting private equity-backed or high-growth organizations
- Exposure to Medical Affairs, MLR workflows, or Regulatory environments
