Position: In-House Counsel
Location: Tempe, AZ (In-office Mon–Thu; remote most Fridays)
Schedule: Full-time, exempt (8:00 AM–5:00 PM)

Role Overview
As our first full-time legal hire, you’ll own the legal function: from litigation strategy and corporate governance to entity structuring, contract drafting, and regulatory compliance. You’ll be embedded in every key decision, ensuring we grow fast—and smart.
Key Responsibilities
Corporate Governance & Entity Management
· Maintain corporate records, draft and file annual reports, manage member/board consents and resolutions.
· Oversee formation and dissolution of subsidiaries, DBAs, joint ventures, and strategic partnerships.
Contracts & Transactions
· Draft, review, and negotiate a wide range of agreements: 1099 contractor, vendor, joint-venture, talent/photo/video release, licensing and distribution.
· Implement standardized templates, playbooks, and approval workflows.
Litigation & Dispute Resolution
· Manage and supervise outside counsel on active matters.
· Lead discovery, prepare witness statements, and negotiate settlements or motions.
Regulatory & Compliance
· Advise on licensing (contractors, insurance brokers, media permits), employment law, data privacy, and insurance policies.
· Develop and enforce company policies: NDAs, handbooks, code of conduct.
Media & IP
· Draft and negotiate release forms, music‐and‐image licenses, format protection, and distribution agreements for TV/streaming.
Ad Hoc Counsel to CEO
· Serve as a strategic thought partner in leadership meetings; provide timely, practical legal advice in a dynamic growth environment.
Qualifications
Juris Doctor (J.D.) from an ABA-accredited law school
Admitted to practice law in Arizona (in good standing)
3–7 years of combined experience in a law firm or in-house role, with both transactional and litigation exposure
Startup or high-growth company experience strongly preferred
Exceptional drafting, negotiation, and communication skills
Highly organized, able to juggle rapidly shifting priorities
Bilingual (English/Spanish) a plus
Compensation & Benefits
Salary: $120,000 / year, paid $5,000 twice monthly
Paid Time Off:
2 weeks paid vacation (front-loaded, non-accrual)
2 weeks paid sick leave (front-loaded, non-accrual)
Total: 1 month PTO annually (use-it-or-lose-it)
Equity Incentive: Eligible for an equity grant of up to 1% of company membership units, subject to Board approval and vesting in full after two years of continuous service under our Equity Incentive Plan
Work Environment: Office provided; remote work permitted most Fridays; collaborative, fast-paced, entrepreneurial culture
Additional Terms
At-Will Employment: This position is at-will and may be terminated by either party at any time with or without cause.

Confidentiality & IP Assignment: Must execute company-standard Confidentiality, Non-Disclosure, and Intellectual Property Assignment Agreement as a condition of hire.
