JOB PURPOSE
- Manage and supervise the provision of legal services and support to the Offshore Business division to promote and safeguard the Company’s interest against diminution in financial value, image and reputation whilst taking into account commercial and operational consideration.
KEY ACCOUNTABILITIES
Legal Services
- Provide legal services and support to Offshore Business division, which include drafting, review and negotiating of contractual documents; and provision of legal advice/opinion. Main scope includes the following:
Projects
- Review or assist in the review and negotiation of main contractual documents and other strategic and complex transactions which includes proposed joint ventures, partnerships and acquisitions.
- Manage the review, drafting and negotiation of other related legal documents to attain the most favorable position for OBU and ensure that Company’s interest is protected.
Procurement
- Provide legal services for procurement exercise in relation to implementation of the projects (up to USD50 million in contract value, per package), to ensure Company’s interest is protected.
- Participate in tender evaluation process, attend to clarifications with bidders and propose recommendation to tender committee on the bidders’ contractual deviations.
- Review and recommend solutions and alternatives to unfavorable clauses proposed by subcontractors to uphold competitiveness without compromising Company’s interest.
- Manage review of standard templates to be used in tender processes to ensure up-to-date with current business requirement and practices.
Operational Matters
- Provide legal advice/opinion in all day-to-day operational/post contractual legal issues arising during operational phase of any project.
- Manage the fact-finding, collation and review of all documents relevant to the operational issues.
Litigation
- Manage disputes or litigation cases to ensure OBU’s best interests are safeguarded.
- Manage the legal advisory work performed by external counsels in cases where they represent MISC Group locally and abroad.
General legal advice
- Provide legal advice/opinion on general matters relevant to the Company’s business.
Negotiations
- Assist in negotiation of strategic and complex transactions and lead the negotiation of other related contractual documents, with objective to attain the most favorable position and protect the Company’s interests and reputation.
Other Legal Support and Services
- Ensure that sufficient and up-to-date legal resources and materials are available to the lawyers in the team so as to effectively discharge legal services.
- Manage the development of templates for agreement or guidelines to increase efficiency of service to Offshore Business division.
JOB REQUIREMENTS:
- 10 – 12 years of working experience in general/ corporate/ commercial legal services. Experience in maritime and oil & gas industry will be an added advantage.
- Bachelor of Laws or any relevant.
