Palicao is recruiting a Management trainee – Legal for one of our clients, a major actor in African industrialization.
The Management Trainee will support the Legal Department across key areas including M&A transactions, contract drafting and review, compliance and Public Private Partnership (PPP) projects. The role offers structured exposure to complex cross-border transactions, legal structuring, regulatory frameworks and corporate governance.
The position is based in one of the sab-Saharian African countries where the client is present: Cameroon, Ghabon, Ghana, Benin, Togo, Sierra Leone, Kenya, Tanzania, Rwanda, Ivory Coast, DRC or ROC.

Key Responsibilities:
M&A Transactions
- Support mergers, acquisitions and strategic investments
- Assist in legal due diligence and data room management
- Review NDAs, term sheets, SPAs and SHAs
- Prepare legal summaries and risk analysis
- Support transaction closing processes
Contract Drafting & Review
- Draft and review commercial agreements (service, supply, consultancy, MoUs)
- Identify legal risks and suggest mitigation
- Ensure alignment with company policies
- Support contract lifecycle management
Compliance & Corporate Governance
- Support AML and anti-bribery compliance frameworks
- Prepare compliance reports and policies
- Assist in corporate governance and filings
- Conduct legal research
Public-Private Partnerships (PPP)
- Assist with PPP and infrastructure projects
- Review concession and project agreements
- Conduct Regulatory Research
- Monitor contractual obligations
Legal Research & Support
- Conduct legal research
- Preparing memos and presentations
- Support business teams on legal queries
Profile:
- Law degree (Bachelor or Master)
- Strong academic background in corporate/commercial law
- 0–2 years of experience (internships desirable)
- Strong analytical and drafting skills
- Understanding of corporate, contract and compliance law
- Excellent communication (English required; French a plus)
- Attention to detail and strong organization
