Position Overview
XCMG Canada is seeking a highly motivated legal professional with an international perspective and a strong legal background to join our global legal team. Serving as a core legal pillar for our Canadian business expansion, you will provide comprehensive support in local corporate law, cross-border compliance risk management, dispute resolution, and commercial contracts.
This role is vital in delivering professional, efficient, and timely legal safeguards to support the steady growth and strategic alignment of XCMG in the North American market.
Key Responsibilities
1. Corporate & Operational Law
• Handle legal matters relating to daily business operations.
• Scope includes: routine contract review, corporate governance, labour and employment law, and data privacy/protection.
2. Commercial Contract Management
• Lead or support the negotiation, drafting, and full lifecycle review of cross-border and domestic commercial contracts.
• Contract types include: equipment sales, international procurement, financial leasing, and service agreements.
• Safeguard commercial interests and mitigate legal risks.
3. Dispute Resolution Support
• Manage and support dispute resolution processes within Canada and across jurisdictions.
• Assist in collaborating with external counsel on litigation, arbitration, and ADR case preparation and strategic execution.
4. Compliance Framework & Risk Control
• Assist in developing, optimizing, and implementing the localized compliance framework.
• Ensure business operations strictly align with Canadian federal laws, provincial regulations, and relevant international regulatory standards.
5. Specialized Legal Analysis
• Provide forward-looking legal research, risk assessments, and compliance feasibility studies on specific business scenarios.
• Key areas: financial leasing, innovative financial products, asset securitization, and bankruptcy/restructuring.
6. Regulatory & Legislative Tracking
• Proactively track legislative changes and regulatory updates in Canada and North America.
• Generate periodic legal risk reports and provide actionable, strategic recommendations to business units.
7. Stakeholder Coordination
• Act as the primary internal legal liaison.
• Ensure seamless collaboration with external law firms, compliance advisors, and internal corporate departments.
• Deliver practical, business-oriented legal solutions.
Qualifications & Requirements
Education & Academic Background
Applicants must meet one of the following two educational tracks:
Track A — LL.B + Canadian LL.M.
• Bachelor of Laws (LL.B.) from an world-wide reputable law school.
• Master of Laws (LL.M.) from an accredited Canadian law school.
Track B — Canadian J.D.
• Juris Doctor (J.D.) from a law school accredited in Canada.
Professional Experience
• 2–6 years of post-qualification legal experience.
• Prior experience or top-tier internships with prominent international law firms or multinational corporate legal departments is strongly preferred.
Professional Skills & Knowledge
• Fluency in English as the primary working language.
• Solid knowledge of international commercial law, cross-border compliance, financial leasing, and banking/finance law.
• Familiarity with secured transactions or bankruptcy law is an asset.
Bar Admission & Work Authorization
• Admission to the Bar of a Canadian common law province, or currently completing the National Committee on Accreditation (NCA) process or articling with the intention of being called to the Bar within a reasonable timeframe.
• Candidates already called to the Bar in any Canadian common law province are encouraged to apply; interprovincial transfer applicants are welcome.
• Must be legally authorized to work in Canada at the time of hire, or be eligible to obtain such authorization.
