Work Schedule: 5 days Onsite

Shift timings: 12 PM to 9 PM

Azurity is seeking an experienced, practical, and business-oriented legal professional in India. This role is intended to provide broad-based legal support to the Global Infrastructure function across employment, finance, IT- digital, corporate governance, and other cross-functional business matters.

Employment

  • Assist HR on employee relations matters, including performance management, discipline, investigations, and terminations.
  • Advise on sensitive employment matters, including complaints, retaliation concerns, accommodations, and workplace investigations.
  • Support workforce restructurings and reductions in force, including risk assessment, documentation, and execution.
  • Draft and review separation agreements, employment agreements, releases, and related employment documentation.
  • Develop and maintain employment policies, handbooks, workplace guidelines, and template documentation.
  • Partner with HR on performance documentation, including PIPs, warnings, and other employee relations materials.
  • Advise on leave, disability, wage and hour, payroll, and worker classification matters.
  • Coordinate with Compliance and outside counsel on investigations, employment matters, and other workplace initiatives.

Corporate Governance

  • Support management of corporate entities, including maintaining entity records, tracking governance requirements, and assisting with corporate documentation.
  • Provide support for subsidiary Board and committee materials, including drafting and organizing minutes, consents, resolutions, presentations, and related governance records.
  • Coordinate with Finance, Tax, Compliance, and other stakeholders on entity, reporting, and governance-related matters.

Finance

  • Support financings, refinancings, lender diligence requests, closings, and post-closing obligations.
  • Assist with compliance under credit facilities, lender agreements, covenants, and reporting obligations.
  • Review lender communications, consents, waivers, amendments, certificates, and related documentation.
  • Support audits, diligence, investigations, and information requests from lenders, auditors, regulators, and other advisors.
  • Advise on payment issues, vendor disputes, pricing-reporting requirements, and other finance-related legal risks.
  • Coordinate with Finance, Accounting, Tax, Treasury, Compliance, and outside counsel on cross-functional matters.
  • Review and negotiate finance-related agreements, including engagement letters, NDAs, and other related documentation.
  • Help develop policies, controls, processes, and documentation standards that support compliance and risk management.

Legal Operations and Systems

  • Support legal operations, matter management, data management, documentation standards, and process improvements to help streamline legal function.
  • Gather, quantify, and report legal department metrics and other information needed to support operational excellence and leadership reporting.

Strategic Legal and Business Partner

  • Support in serving as legal advisor to Infrastructure functions and related executives, including EPMO, Digital, People, Workplace Services, IT, Finance, Communications, PR, Government Affairs, Legal & Compliance, and other business teams as needed.
  • Help identify legal and business risks, gather facts, and support practical recommendations that enable timely and risk-calibrated decision-making.
  • Coordinate with internal stakeholders globally to understand business objectives, track deliverables, follow up on open items, and ensure legal matters progress efficiently.
  • Prepare first drafts, summaries, checklists, templates, presentations, and other work product for review by senior legal team members.

General Legal Department Support

  • Work closely with Legal & Compliance team members to support efficient workflows and consistent legal support globally.
  • Maintain organized files and records; prepare reports, presentations, trackers, and matter summaries; and support special projects as assigned.
  • Handle confidential information with discretion and professionalism, and escalate issues appropriately.

Qualifications

  • LL.B. from a reputed university;
  • 6-9 years of relevant legal experience, with meaningful experience supporting an in-house legal department or multinational business environment.
  • Strong contracting experience, including cross-border agreements and coordination with global internal stakeholders and counterparties.
  • Sound judgment, high integrity, and ability to identify legal and business risks and propose practical solutions.
  • Strong verbal and written communication skills, including ability to communicate clearly with legal colleagues and stakeholders in the United States, India, Ireland, and other jurisdictions.
  • Strong organizational skills, careful attention to detail, and ability to manage multiple complex matters in a high-volume, deadline-driven environment.
  • High proficiency with Microsoft Office; experience with Ironclad or similar contract lifecycle management platforms, DocuSign, Oracle, preferred.
  • Collaborative, team-oriented working style with the ability to build business acumen and operate with appropriate independence.
