The Role:

As a Legal Counsel, you will provide legal support on the real estate, permitting, and corporate aspects of project development for ABEI’s renewable energy and data center portfolio, ensuring securing land rights, de-risking title, and corporate governance processes align with the specific needs of each project to reach ready to build status. You will support development teams across the US and UK, covering Classic Technologies (wind, solar, and BESS) and Data Center projects, and will play a key role in the continued growth of ABEI’s international portfolio.

What You’ll Do:

  • Draft, review, and negotiate real estate contracts, including Heads of Terms, exclusivity agreements, option to lease/purchase agreements, easement and license agreements, and surface waiver, accommodation, easement, encroachment, crossing, and SNDA agreements.
  • Request, review, and interpret title reports, searches, enquiries, and title commitments; negotiate title insurance and coordinate with title companies on curative matters.
  • Support the permitting workstream: review and support permitting issues, including negotiation of planning performance agreements, road use agreements, tax abatements, decommissioning agreements, interconnection agreements, and crossing agreements and legal indemnity insurance.
  • Manage corporate governance across multiple jurisdictions (England and Texas): company formation and dissolution, secretarial and statutory filings, powers of attorney, statutory registers, and other corporate housekeeping.
  • Support legal due diligence and Q&A processes for M&A transactions involving wind, solar and BESS assets.
  • Draft and negotiate NDAs across all business lines.
  • Liaise with external counsel across multiple jurisdictions and coordinate engagement letters.
  • Advise internal stakeholders (development, permitting, finance, and asset management teams) on legal risk and mitigation strategies, partnering cross-functionally in recurring project working tables.
  • Lead and support M&A, financing, and corporate governance activities, overseeing transactional documentation, negotiations, due diligence processes, and coordination with internal stakeholders and external advisors.

Minimum Requirements

What We’re Looking For:

  • Bachelor of Laws degree (common law or civil law, with a working command of real estate and property law, and experience drafting and negotiating contracts).
  • 2–3 years of relevant experience in real estate, or energy-related legal practice (law firm or in-house).
  • Experience with renewable energy (wind, solar, BESS) and/or data center projects strongly preferred.
  • Familiarity with common law systems (US and/or UK) is a strong plus.
  • A fully qualified solicitor/lawyer preferred.
  • Native or bilingual proficiency in English.
  • Strong organizational and problem-solving skills, with the ability to multitask in a dynamic, fast-paced environment.
  • Team spirit, proactivity, and comfort liaising with external counsel and stakeholders across time zones.
  • Enthusiasm for the renewable energy and/or real estate/data center sectors.
  • Proficiency with Microsoft office (e.g., Word, Teams, SharePoint and Excel), plus IA knowledment.
