Main responsibilities:
• Legal follow-up of financing transactions, including review and coordination of loan documentation with internal teams, such as facility agreements, pledges, assignments and guarantees.
• Negotiation and finalisation of financing-related contracts with clients and/or law firms, including loan agreements, security agreements and intercreditor agreements.
• Coordination with external legal counsel on security enforcement, restructurings and default situations. • Interaction with external lawyers, notaries and other counterparties for the execution of transactions.
• Follow-up of corporate matters relating to the business, including signing authorities, board resolutions and corporate housekeeping. • Operational legal support on all contractual matters relating to financings.
• Review and improvement of internal legal processes, including contract management, approval workflows and powers of attorney.
• Contribution to the standardisation of contractual documentation.
• Coordination with internal teams, including relationship managers, operations, risk, compliance and back office.
Profile sought:
- Swiss law degree.
- 5 to 10 years’ experience in trade finance, preferably within a bank.
- Ability to manage a high volume of documentation with accuracy and efficiency.
- Excellent command of legal English.
- Strong autonomy, attention to detail, practical mindset and ability to work in a demanding operational environment.
- 100% position based in Geneva, with the possibility of being based in Zug subject to one day per week of presence in Geneva.
