Our client is a holding company of a major international engineering and construction group, overseeing multiple joint ventures and complex business operations.
With rapid expansion and increasing legal demands, they are seeking a Legal Counsel to strengthen their legal team and support their growing portfolio of joint venture companies.
As a Legal Counsel, you will play a key role in managing legal operations across multiple joint ventures. You will handle corporate governance, compliance, and transactional legal work, ensuring seamless operations in a fast-paced international environment.
Key Responsibilities:
• Draft and review agreements, resolutions, shareholder documents, board meeting minutes, and compliance files.
• Prepare and manage loan agreements, shareholder agreements, and financial documents.
• Liaise with law firms, joint venture partners, banks, service providers, and notaries.
• Maintain structure charts, compliance records, and corporate legal files.
• Provide legal support across multiple companies, assisting with complex transactions and regulatory requirements.
Who We’re Looking For:
• 3-10 years of legal experience, ideally in corporate law, joint ventures, or complex transactions.
• University or HBO (higher professional education) degree in law from the Netherlands.
• Fluency in English. Dutch is a plus.
• Experience with complex legal documents, such as loan agreements, shareholder agreements, and partnership agreements.
• Background in trust companies is highly valued
• Hands-on approach with strong organizational and stakeholder management skills.
