The Role
We are looking for a highly capable Legal Counsel to build and own the legal and compliance function at YouLabs.
This is a high-impact role for someone who enjoys operating across multiple legal disciplines—from healthcare regulation and privacy to commercial contracts, corporate structuring, and intellectual property. You will work directly with the founders and external advisors to ensure the company remains compliant, scalable, and strategically protected as it grows.
This is not a narrow specialist role. Success requires sound judgment, strong execution, and the ability to navigate ambiguity in a fast-moving startup environment.
Key Responsibilities
Corporate Governance & Cross-Border Structuring
- Support and maintain the Singapore HoldCo and India OpCo structure.
- Manage inter-company agreements, IP licensing arrangements, and corporate governance documentation.
- Coordinate with corporate secretarial, legal, tax, and compliance advisors across jurisdictions.
- Support fundraising transactions, including investor documentation such as SHA, SSA, SAFE, and related agreements.
- Assist with ESOP design, grant documentation, and ongoing compliance.
- Maintain statutory records and support board and shareholder governance processes.
Healthcare Regulatory & Compliance
- Monitor and advise on applicable healthcare regulations in India.
- Support regulatory engagement with bodies including IRDAI, CDSCO, NMC, State Medical Councils, and other relevant authorities.
- Ensure compliance with telemedicine guidelines and healthcare service delivery regulations.
- Assess regulatory implications of digital health products, including Software as a Medical Device (SaMD) considerations.
- Support licensing, registrations, approvals, and regulatory filings as required.
Data Privacy & Information Governance
- Lead implementation and ongoing compliance under the Digital Personal Data Protection Act (DPDP Act), 2023.
- Support privacy compliance across India and international jurisdictions where applicable.
- Draft and maintain privacy notices, consent frameworks, data processing agreements, and related documentation.
- Advise business teams on data sharing, cross-border transfers, data localization requirements, and information security obligations.
- Work closely with technology and operations teams to embed privacy-by-design practices.
Commercial Contracts
- Draft, review, negotiate, and manage commercial agreements across the business.
- Lead contracting with hospitals, insurers, diagnostic partners, vendors, technology providers, and enterprise customers.
- Develop and maintain standard agreement templates and contracting playbooks.
- Draft and manage healthcare-specific documentation, including:
- Doctor empanelment agreements
- Patient consent documents
- Telemedicine consent forms
- Terms of service
- Grievance and compliance frameworks
- Provide practical legal advice to support commercial decision-making.
Intellectual Property
- Maintain and strengthen the company's IP portfolio.
- Ensure proper IP assignment and ownership across founders, employees, contractors, and third-party partners.
- Manage trademark filings and registrations in India and international markets.
- Review technology licensing, software development, and IP commercialization agreements.
- Partner with external counsel on patent, trademark, and IP strategy matters where necessary.
Risk Management & Legal Operations
- Build and maintain a company-wide legal and regulatory risk framework.
- Track and communicate material legal and regulatory developments to leadership.
- Manage relationships with external law firms and specialist advisors.
- Support procurement and renewal of D&O, professional indemnity, cyber, and other insurance programs.
- Establish scalable legal processes, documentation standards, and compliance workflows.
What we're looking for
- LLB / BA LLB or equivalent law degree.
- Enrolled with the Bar Council of India.
- 7–10 years of post-qualification experience.
- Strong experience in at least two of the following areas:
- Healthcare and life sciences law (mandatory)
- Data privacy and technology law
- Corporate and commercial transactions
- Cross-border structuring and governance
- Experience working in a startup, growth-stage company, or fast-paced business environment.
- Strong contract drafting and negotiation skills.
- Ability to work independently and manage multiple priorities simultaneously.
Preferred Qualifications
- Experience engaging with IRDAI, CDSCO, NMC, or other healthcare regulators.
- Experience implementing privacy programs under DPDP, GDPR, PDPA, or similar frameworks.
- Familiarity with transfer pricing structures and cross-border licensing arrangements.
- Exposure to healthcare, digital health, health-tech, insurance-tech, SaaS, or regulated technology businesses.
- Experience managing external counsel and specialist advisors effectively.
- Singapore legal exposure or admission is a plus.
