PURPOSE OF THE POSITION
- Strategic Purpose: safeguarding company interests, ensuring legal and regulatory compliance. Operational Purpose: managing contracts, risks, external counsel, and supporting business functions.
- Provide expert legal and compliance advice to the Managing Director and the Management Team, ensuring that all company activities in Myanmar adhere to applicable laws, regulations, and internal policies.
- Lead legal risk identification and mitigation, manage all company contracts, intellectual property, and litigation, and support business functions with timely, pragmatic legal solutions.
Responsibilities
Legal Advisory & Business Partnering
- Provide proactive legal advice across all functions, enabling informed business decision-making.
- Support strategic initiatives, commercial negotiations, and cross-functional projects.
Contract Management
- Draft, review, and negotiate a wide range of commercial agreements (supply, distribution, sponsorships, procurement, IT, marketing, IP, etc.).
- Lead contract lifecycle management and ensure proper record-keeping and policy compliance.
Compliance & Governance
- Advise on anti-trust, anti-bribery, data protection, competition law, and regulatory compliance.
- Implement, promote, and monitor adherence to the Code of Business Conduct, Anti-Bribery, HeiRules, and other governance policies.
- Conduct compliance training for employees.
Intellectual Property Management
- Secure and maintain ownership of trademarks and IP rights.
- Coordinate with global and regional IP teams on brand usage and protection.
Disputes & Litigation
- Manage investigations, gather evidence, and liaise with external counsel.
- Oversee litigation and dispute resolution processes.
External & Internal Stakeholder Management
- Act as the primary interface with external counsel, government agencies (when needed), and regulatory bodies.
- Prepare presentations, meeting minutes, and internal communication materials.
Requirements
- University degree/Masters in LL.B. and/or LL.M.At least 5 years of relevant work experience in general commercial private practice or in-house position.
- Candidates with experience in FMCG or F&B Industry will be considered favourably.
- Minimum 5 years of post-qualification experience in commercial legal practice or in-house.
- Strong knowledge of commercial, corporate, contract, anti-trust, and company law.
- Proven ability to draft, negotiate, and manage a broad range of commercial agreements.
- Experience with IP protection and compliance frameworks.
- Skilled in policy implementation and legal training delivery.
- Proficiency in Microsoft Office tools.
