About the Role

AEM is seeking a Legal Counsel to support the General Counsel in a listed-company, international business environment. This role is focused on commercial contracting and advisory work, with exposure to governance, intellectual property and legal operations. It is a high-trust role suited for lawyer who is organised, commercially minded and able to operate independently.

Responsibilities

Commercial Contracting and Advisory

  • Draft, review and negotiate commercial agreements (NDAs, supply, service and related contracts)
  • Provide clear, practical and risk-based legal advice
  • Manage contract lifecycle end-to-end
  • Escalate higher-risk or non-routine matters appropriately

Governance and Corporate Secretariat

  • Maintain governance records including board and shareholder documentation
  • Coordinate with corporate secretarial providers across jurisdictions
  • Support statutory compliance and listed-company requirements
  • Maintain governance trackers and approval records

Intellectual Property

  • Support administration of the Group’s IP portfolio
  • Coordinate filings, renewals and portfolio updates with external counsel
  • Maintain IP records and track key deadlines
  • Escalate risks and key considerations

Legal Operations

  • Maintain legal trackers across contracts, entities, IP and approvals
  • Improve legal processes, templates and playbooks
  • Support development of a scalable and well-controlled legal function

Investigations and Compliance

  • Support internal investigations and fact-finding
  • Identify legal and compliance risks and support mitigation actions
  • Contribute to compliance initiatives, policies and training

Qualifications

  • ~5 years PQE; law firm training preferred
  • Qualified in a relevant jurisdiction
  • Strong drafting skills and commercial judgment
  • Able to work independently in a lean environment
  • Organised and able to manage multiple workstreams
