We are seeking a Group Corporate Secretary/Legal Counsel to join our dynamic legal and compliance team in Dubai. You will be responsible for managing and overseeing the corporate documentation of our group entities, any changes thereto, ensuring compliance with our corporate governance, and facilitating effective communication across our group entities.

The ideal candidate will have a background in corporate law within UAE and experience with managing legal formalities, in particular with free zones in UAE.

Key Responsibilities:

Assist in the preparation and review of corporate documents, including articles of association, share transfer forms, PoAs, options, resolutions, minutes, etc.

Monitor decision-making processes within the group entities to ensure alignment with corporate policies and legal standards.

Prepare and maintain accurate minutes for all corporate body meetings, ensuring compliance with legal requirements and corporate policies.

Manage changes to corporate documents, ensuring all modifications are compliant with applicable laws and regulations.

Organize and coordinate board and committee meetings, including agendas, and documentation. Facilitate communication between board members and executive leadership.

Oversee communications and filings with free zones and commercial registries, ensuring compliance with local laws and regulations.

Maintain organized records of corporate filings and documentation, ensuring easy access and compliance with retention policies.

Act as a point of contact for corporate governance matters, facilitating communication between various stakeholders across the organization.

Stay updated on changes in corporate law and regulations, providing guidance to senior management as needed.

Collaborate with internal teams to support business initiatives while ensuring legal and regulatory compliance.

Handle sensitive information with the utmost discretion and maintain confidentiality in all corporate matters.

Qualifications / Experience :

Education:

Bachelor’s degree in law or equivalent law degree from an accredited institution.

Minimum of 3 years of experience in corporate law, in private practice or in-house setting.
