Role Overview:
As Legal Counsel specializing in Technology Transactions and Strategic Partnerships, you will be instrumental in structuring, negotiating, and finalizing a wide array of complex commercial and technology agreements, with a strong emphasis on partnership contracts and contract work. You will directly support strategic company objectives by managing critical partnership, reseller, go-to-market, and cloud infrastructure programs. This role demands deep expertise in IT-related legal matters, exceptional collaboration with cross-functional teams, and the ability to provide insightful legal and business counsel.
Responsibilities:
Structure, negotiate, and finalize sophisticated technology transactions and partnership agreements, working closely with Business Development, Alliances, Sales, and Strategic Sourcing teams.
Provide expert legal guidance on a wide range of contractual matters related to technology partnerships and commercial arrangements.
Manage and advise on legal aspects of partnership, reseller, go-to-market, and cloud infrastructure programs within the IT industry (specifically Cloud, IP, SaaS, and Data privacy/protection).
Collaborate effectively with legal, finance, tax, product, engineering, security, and compliance teams to identify and mitigate risks, and develop robust compliance processes.
Provide practical, strategic legal and business advice to senior internal stakeholders.
Requirements:
Juris Doctor (JD) from an accredited law school.
Active membership in at least one state bar, with the ability to practice in California.
7-8 years of relevant legal experience, with a strong focus on partnership contracts and general contract work. This includes experience at a top law firm and/or in-house at a technology company within the IT sector (Cloud, IP, SaaS, Data privacy/protection preferred).
Deep understanding of legal and business issues relevant to the IT industry, particularly SaaS-centric matters (data, privacy, security, intellectual property).
Proven business acumen and the ability to provide pragmatic legal solutions.
Excellent written and oral communication skills, with the ability to articulate complex legal concepts clearly.
Strong interpersonal skills and a demonstrated ability to collaborate effectively across all organizational levels, including executive leadership.
Ability to work independently, prioritize effectively, and manage multiple complex projects under demanding deadlines.
Experience working seamlessly within cross-functional teams.
Creative, solution-oriented mindset with a proactive approach to navigating complex and ambiguous situations.
Ability to manage a significant volume of deals and work extended hours as needed.
Proactive, adaptable, and results-oriented attitude.
Prior experience as a Senior Counsel or in a more executive-level legal role is highly desirable.
