At Noda we’re building seamless Open Banking solutions that make payments smarter, faster, and safer. We’re now looking for a Legal Counsel to join our team and help drive the next wave of fintech innovation.

Your Mission

  • Oversee and maintain corporate governance frameworks across all group entities.
  • Ensure timely preparation, approval, and filing of corporate documents (e.g., board minutes, shareholder resolutions, and annual returns).
  • Maintain and update the corporate records database and registers for all group companies.
  • Identify and mitigate legal risks in corporate operations and governance.
  • Support the implementation of internal policies and controls to strengthen legal compliance and corporate governance standards.
  • Act as the main liaison with external law firms and advisors across jurisdictions.
  • Draft, review, and coordinate execution of intragroup agreements (e.g., service, loan, IP licensing, and cost-sharing agreements).

Your skills and experience:

  • LL.B in Law.
  • LL.M (completed or in progress) will be considered as an advantage.
  • Approximately 2-3 years of post-qualification experience as a Legal Counsel or Junior Legal Counsel.
  • Strong drafting and reviewing skills for legal documents and agreements in English (C1-C2 level); completion of legal studies or dissertations in English is an asset.
  • High attention to detail and accuracy in legal work.
  • Ability to work effectively in a fast-paced, dynamic environment.
  • Strong self-organisation and time management skills.
  • Flexibility and adaptability when dealing with changing priorities.
  • Strong communication and interpersonal skills to support collaboration across departments.
  • Russian native/fluent
