Key Responsibilities

  • Commercial Contracting: Review, draft, and negotiate standard commercial agreements including SaaS agreements, software license agreements, reseller agreements, NDAs, vendor and customer contracts, and employment-related documents — ensuring accuracy, consistency, and alignment with Trianz’s legal standards.
  • Compliance Management: Assist in ensuring ongoing compliance with applicable corporate, labour, and IT/ITES industry regulations across the jurisdictions in which Trianz operates; track regulatory changes and flag relevant developments proactively.
  • Contract Lifecycle Management: Coordinate with internal stakeholders — including Sales, Finance, HR, and Operations — on contract workflows, approvals, renewals, and documentation; maintain structured and audit-ready contract repositories.
  • Legal Records & Statutory Filings: Maintain and update legal records, compliance trackers, licenses, and statutory filing calendars; ensure timely completion of filing obligations across entities and geographies.
  • Audits & Risk Assessments: Support internal and external audits, assist in policy implementation, and contribute to compliance risk assessments — helping identify gaps and recommend remediation steps.
  • External Counsel & Regulatory Liaison: Coordinate with external legal counsels, consultants, and regulatory authorities as required; prepare briefing materials and manage follow-through on external engagements.
  • Legal Research & Regulatory Intelligence: Conduct legal research on topics relevant to Trianz’s business — including data privacy, IP, technology contracts, and employment law — and prepare clear summaries and advisory notes for internal stakeholders.
  • Disputes & Corporate Governance: Assist in handling legal notices, pre-litigation correspondence, and documentation related to corporate governance matters, board resolutions, and entity management.

Core Competencies Required

  • Commercial Contract Drafting & Review: Ability to draft, review, and redline standard commercial agreements independently, with a clear understanding of risk allocation, standard market positions, and Trianz’s business context.
  • Regulatory & Compliance Awareness: Working knowledge of corporate, labour, and IT/ITES compliance requirements; ability to monitor regulatory developments and translate them into practical compliance actions.
  • Attention to Detail: High degree of accuracy in documentation, record-keeping, and legal analysis — with the discipline to maintain audit-ready records consistently.
  • Stakeholder Communication: Ability to communicate legal positions and compliance requirements clearly and concisely to non-legal colleagues across functions and geographies.
  • Research & Analytical Ability: Strong legal research skills with the ability to synthesise complex regulatory material into clear, actionable summaries for internal use.
  • Organizational & Process Discipline: Ability to manage multiple workstreams simultaneously contract pipelines, compliance trackers, filing calendars — with structured follow-through and minimal supervision.
  • Technology & Tools Familiarity: Comfort working with contract management systems, legal databases, and productivity tools in a digitally native environment.

Education: LLB or BA LLB from a recognized institution. Additional qualifications in compliance, data privacy (e.g., CIPP), or corporate law are a plus.

Experience: 3+ years of post-qualification experience in an in-house legal team or law firm, with meaningful exposure to IT/ITES or software sector clients or employers. Demonstrated experience drafting and reviewing commercial contracts — SaaS agreements, NDAs, vendor/customer contracts is essential.
