Role Description
This is a full-time, on-site Associate/Senior Associate role based in New Delhi, aligned with Sarvaank Associates’ focus on start-ups, private equity, and venture capital. The role involves drafting and reviewing investment documents, shareholder agreements, commercial contracts, and other transaction-related documentation. It requires conducting in-depth legal research on corporate, regulatory, and data privacy frameworks, and providing advisory support on private equity/VC investments, fund-related matters, and M&A transactions.
The position also includes assisting in due diligence, transaction structuring, and regulatory compliance for high-growth companies and investors. You will engage directly with founders, funds, and family offices, manage client communications, and deliver tailored, strategic legal solutions that support clients across their business lifecycle.
Qualifications
- LL.B. from a recognized law school; LL.M. or specialization in corporate/commercial law is an advantage.
- 1–3 years (Associate) or 3–5 years (Senior Associate) of experience in corporate law, private equity/VC transactions, or M&A, the designation shall depend on relevant experience.
- Strong understanding of Companies Act, FEMA, SEBI regulations, and general corporate-commercial laws.
- Prior experience in drafting and negotiating investment documents (SHA, SSA, SPA, term sheets, commercial agreements, etc.).
- Experience assisting on due diligence, transaction structuring, and regulatory compliance matters.
- Familiarity with start-up ecosystem, cap tables, ESOPs, and fund investments is preferred.
- Ability to conduct comprehensive legal research and prepare clear, well-structured legal opinions.
- Strong communication skills with the ability to handle client interactions independently.
- High attention to detail, analytical thinking, and ability to work in a fast-paced, transaction-driven environment.
- Ability to manage multiple matters simultaneously and meet time-sensitive deadlines.
