The Role

We are seeking an experienced Business Transactions Paralegal to become an integral member of our team.

This position supports attorneys through every stage of sophisticated business transactions—from initial entity review and due diligence through closing and post-closing administration. You’ll help coordinate complex matters involving mergers and acquisitions, business sales, recapitalizations, succession planning, and tax-driven transaction structures.

What You’ll Do

Transaction Management

  • Support attorneys on mergers, acquisitions, business sales, asset purchases, stock purchases, reorganizations, and other corporate transactions.
  • Coordinate transaction timelines, milestones, and closing deliverables.
  • Maintain comprehensive closing checklists and ensure timely completion of all transaction requirements.
  • Organize virtual data rooms and manage due diligence requests and responses.
  • Track multiple active transactions while proactively identifying and resolving outstanding items.

Corporate & Transaction Documentation

  • Draft and prepare:
  • Organizational documents
  • Board and shareholder resolutions
  • Written consents
  • Secretary certificates
  • Officer certificates
  • Corporate governance documents
  • Closing binders
  • Entity formation documents
  • Annual corporate maintenance documents
  • Review corporate records and organizational documents.
  • Prepare signature packets and coordinate execution through electronic signature platforms.
  • Maintain accurate corporate records throughout each transaction.

Due Diligence & Client Coordination

  • Review and organize due diligence materials.
  • Coordinate directly with clients, accountants, financial advisors, lenders, and opposing counsel to obtain required information.
  • Assist attorneys in reviewing contracts, organizational documents, corporate records, and transaction schedules.
  • Monitor outstanding requests and keep matters moving efficiently toward closing.

Post-Closing Support

  • Assemble electronic and physical closing binders.
  • Coordinate post-closing filings and documentation.
  • Maintain transaction records and corporate documentation.
  • Ensure all closing deliverables have been completed.

Process Improvement

As part of a growing organization, you’ll also have the opportunity to improve how transactions are managed by helping refine workflows, documentation standards, and operational processes that increase efficiency across the practice.

What We’re Looking For

Required Qualifications

  • 5+ years of experience as a corporate, business transactions, or M&A paralegal.
  • Significant experience supporting sophisticated business transactions from inception through closing.
  • Strong understanding of:
  • Corporate governance
  • Business entities
  • Due diligence
  • Closing processes
  • Corporate record keeping
  • Excellent project management and organizational skills.
  • Exceptional attention to detail.
  • Ability to prioritize multiple active transactions in a fast-paced environment.
  • Strong written and verbal communication skills.
  • Professional judgment and discretion when working with confidential client information.
  • Proficiency with Microsoft Office, Adobe Acrobat, document management software, and electronic signature platforms.

Preferred Qualifications

  • Bachelor’s degree and/or Paralegal Certificate.
  • Experience supporting tax-driven business transactions.
  • Experience working with closely held businesses or middle-market companies.
  • Familiarity with CRM or legal workflow management software.

Pay: $28.00 – $32.00 per hour
