True Green Capital Management LLC is a lean, fast-paced specialized renewable energy infrastructure fund manager focused on energy transition with offices in the US and UK. Our in-house legal team sits at the center of everything we do—supporting a wide range of corporate activities and partnering directly with the investment team to close acquisitions, tax equity financings, and debt transactions that are helping build the energy transition.
We're looking for a motivated paralegal who wants more than a traditional paralegal seat. In this role, you will have direct ownership of your work across a broad range of corporate activities and transactions, with meaningful exposure to complex deals from start to finish.
What You'll Own
- Manage the closing process from start to finish — managing checklists, due diligence request lists, data rooms, outside legal counsel coordination, signature pages, and final closing sets
- Manage data rooms and due diligence request lists throughout the transaction lifecycle including during diligence
- Draft and negotiate NDAs directly with counterparties
- Draft, file and order UCC lien searches, tax lien searches, state and federal judgment lien searches and preparing summaries of the results
- Manage entity formation and qualification filings — working with our registered agent on initial formation and managing all subsequent filings, good standings, and certified charters manually
- Drafting and reviewing secretary’s certificates, officer’s certificates, resolutions, certificates of formation/incorporation, incumbency certificates
- Review title commitment related work
- Direct interaction with outside legal counsel and business teams across all workstreams
What We're Looking For
- Motivated self-starter with ability to work independently and excel at multi-tasking in a fast-paced environment
- Bachelor's degree required
- 3+ years of paralegal experience at a law firm or in-house legal department
- Major law firm or investment management firm experience a plus.
- Manage competing deliverables without close supervision
- Clear and confident communicator internally and with outside counsel and external stakeholders
- High degree of discretion and sound judgement when handling confidential matters
- Strong analytical skills with sharp attention to detail
