Role Description The Legal Advisor – lawyer is a full-time, on-site role based in Muscat. The role involves providing legal advice on real estate investments, development projects, and fund operations, ensuring compliance with applicable laws and regulations. The Legal Advisor will review, draft, and negotiate contracts, agreements, and other legal documents related to property acquisitions, joint ventures, financing, and stakeholder partnerships. Day-to-day tasks include identifying and mitigating legal risks, advising on labor and employment matters, supporting governance frameworks, and handling legal issues that arise across the portfolio. The role also includes coordinating with external counsel, preparing legal reports for management, and contributing to policies and procedures that promote sound, transparent, and compliant business practices.
Qualifications
Minimum Experience
- Minimum 3+ years of relevant legal experience, preferably within Oman.
- Proven experience providing legal advisory services to companies, investors, and commercial organizations.
- Practical experience in investment, corporate, commercial, and contractual matters in the Sultanate of Oman.
- Experience dealing with government authorities, regulatory bodies, and external legal consultants.
Investment & Corporate Legal Expertise
The candidate should have strong knowledge and practical experience in:
- Providing legal advice to local and foreign investors regarding investments in Oman.
- Advising on company incorporation, restructuring, shareholders’ arrangements, joint ventures, and investment projects.
- Reviewing and drafting Shareholders’ Agreements, Joint Venture Agreements, Investment Agreements, MOUs, NDAs, and commercial contracts.
- Advising on foreign investment requirements and applicable Omani laws and regulations.
- Conducting legal due diligence for investment opportunities and projects.
- Identifying and assessing legal risks associated with investments and commercial transactions.
- Supporting management during negotiations with investors, partners, contractors, consultants, and other stakeholders.
Oman Authorities & Government Platforms
- Strong practical knowledge of the Sultanate of Oman’s government authorities, regulatory requirements, and official electronic platforms relevant to business and investment activities.
- Ability to identify the correct authority and complete the required procedures for company, investment, licensing, regulatory, and commercial matters.
- Familiarity with relevant authorities and platforms, including:
- Ministry of Commerce, Industry and Investment Promotion (MOCIIP)
- Oman Business Platform
- Invest Oman
- Tax Authority
- Ministry of Labour
- Royal Oman Police – immigration and visa-related procedures
- Muscat Municipality and other relevant municipalities
- Projects, Tenders and Local Content Authority
- Other government authorities and regulatory bodies relevant to the company’s activities.
Legal Documentation & Contract Management
- Draft, review, amend, and negotiate commercial and investment contracts.
- Review contracts to identify legal, financial, commercial, and regulatory risks.
- Prepare legal opinions, memoranda, notices, letters, and other legal documents.
- Maintain proper records of contracts, licenses, agreements, and corporate documents.
- Monitor legal and regulatory changes affecting the company and advise management accordingly.
- Coordinate with external lawyers and government authorities when required.
Regulatory & Compliance Knowledge
- Good understanding of Omani commercial and corporate laws and regulations.
- Knowledge of foreign investment and business licensing requirements in Oman.
- Understanding of employment, tax, commercial registration, corporate governance, and regulatory compliance matters.
- Ability to conduct legal research and provide practical recommendations to management.
Education & Professional Qualification
- Bachelor’s degree in Law (LL.B.) from a recognized university.
- A Master’s degree in Law, Corporate Law, Commercial Law, or Investment Law is an advantage.
- Professional legal qualification/licensing in Oman, where applicable, is highly preferred.

Preferred Candidate Profile
The ideal candidate should have at least 3 years of hands-on legal experience in Oman, particularly in investment, corporate, and commercial legal matters. The candidate should be capable of advising investors and management, preparing and reviewing investment and commercial agreements, managing legal and regulatory requirements, and dealing confidently with Omani government authorities and their official electronic platforms.
