Law/Legal Associate, Business Law Jobs in India at JSA
The role involves working closely with the team on a broad range of corporate advisory, regulatory and transactional matters, including corporate governance, compliance, private equity investments and M&A transactions.
Responsibilities
Drafting, reviewing and negotiating transaction documents such as SSA, SPA, SHA, BTA, term sheets and other ancillary agreements.
Working on Private Equity, Venture Capital and M&A transactions, primarily in the unlisted space; exposure to listed company transactions (such as open offers, delisting, etc.) will be an added advantage.
Handling end-to-end execution and closing of transactions, including coordination with clients, counter parties and internal teams.
Demonstrating a strong understanding of corporate laws, including the Companies Act, 2013, SEBI regulations (such as LODR and PIT Regulations) and foreign exchange laws.
Leading and conducting legal due diligences and assisting with preparation of diligence reports.
Effectively communicating with clients and managing transaction discussions.
Ability to adapt to new areas of law and handle varied work streams including advisory, drafting, negotiations and corporate litigation support where required.
Qualifications
2–4 years PQE in General Corporate / M&A practice.
Candidates with CS + LL.B. qualification is mandatory.
Prior experience with Tier-1 or Tier-2 law firms is desirable.
Strong drafting, negotiation, analytical and client-management skills.
Exposure to employment law will be considered an added advantage.
