We are looking for an experienced In-house Legal Counsel (Corporate Banking) to join our Credit Administration Department. The successful candidate will have 5 to 8 years of PQE and a strong background in banking, financial services, or financial regulatory law. This role is responsible for providing strategic legal support across banking operations, ensuring regulatory compliance, mitigating legal risks, and enabling business growth. Key areas of expertise include lending, trade finance, treasury, corporate governance, contract negotiation, dispute resolution, and engagement with regulatory authorities. The ideal candidate is commercially driven, solution-oriented, and capable of partnering effectively with stakeholders across the organization.
*Ranking of the position will depend on the decision of the bank toward the selected candidate.
KEY RESPONSIBILITIES
*Legal Advisory
- Provide timely and practical legal advice on corporate banking activities and transactions.
- Advise management and business units on legal and regulatory risks associated with banking products, services, and operations.
- Support product development, process enhancement, and strategic business initiatives from a legal and risk management perspective.
- Monitor, interpret, and communicate relevant legal and regulatory developments affecting the Bank’s operations.
*Contract Review & Documentation
- Draft, review, negotiate, and maintain a wide range of legal documents, including:
- Loan and financing agreements
- Security and collateral documentation
- Treasury and derivatives agreements
- Trade finance documentation
- Vendor and outsourcing contracts
- Customer and service agreements
- Non-disclosure agreements (NDAs)
- Partnership and strategic cooperation agreements
- Personal data protection documents and agreements
- Ensure contractual arrangements adequately protect the Bank’s interests and comply with applicable laws and regulations.
*Regulatory Compliance & Governance
- Provide legal guidance on banking laws, regulations, and supervisory requirements.
- Advise on AML/CFT, KYC, sanctions, anti-corruption, data privacy, and other regulatory compliance matters.
- Support regulatory inspections, audits, internal reviews, and compliance assessments.
- Advise management on corporate governance matters and support governance-related meetings and committees.
- Ensure compliance with regulatory requirements, governance frameworks, and internal policies.
*Litigation, Dispute Resolution & Risk Management
- Manage and coordinate litigation, arbitration, investigations, and enforcement matters.
- Liaise with and oversee external legal counsel where required.
- Handle customer disputes, debt recovery matters, and other potential legal claims.
- Identify, assess, and mitigate legal and regulatory risks across the Bank’s operations.
- Contribute to enterprise-wide risk management initiatives and legal risk assessment processes.
*Stakeholder Management & Leadership
- Partner closely with key stakeholders across Risk Management, Compliance, Credit, Operations, Treasury, Human Resources, and Internal Audit functions.
- Maintain effective working relationships with regulators, external counsel, and industry associations.
- Provide legal training and guidance to business and operational teams.
- Manage external legal service providers and related legal budgets.
- Develop and enhance legal policies, procedures, and best practices.
REQUIREMENTS
*Education & Professional Qualifications
- Bachelor’s Degree in Law (LL.B.).
- Qualified lawyer admitted to practice in a recognized jurisdiction.
- Master’s Degree in Law (LL.M.) is an advantage.
*Experience
- Minimum 5 years of post-qualification legal experience, preferably gained from:
- An in-house legal role within a bank or financial institution; and/or
- A reputable law firm with a banking and finance practice.
- Solid experience in:
- Corporate and commercial lending
- Trade finance
- Treasury and financial market products
- Banking regulations and regulatory compliance
