Responsibilities:
- Lead the preparation, review, negotiation, and administration of a broad range of commercial contracts, including technology licensing agreements, SaaS contracts, statements of work, vendor and supplier agreements, confidentiality agreements, strategic alliance agreements, and customer contracts.
- Serve as a trusted legal advisor to cross-functional teams, supporting Sales, Customer Success, and other business units throughout contract negotiations and post-execution matters.
- Provide practical guidance on legal, regulatory, and compliance issues affecting daily business operations and strategic initiatives.
- Coordinate corporate governance functions, including maintaining corporate records, supporting board and committee activities, and overseeing legal entity administration.
- Assist with privacy, data security, cybersecurity, and information governance programs, including responding to customer and third-party due diligence requests.
- Collaborate with Human Resources to advise on employment-related legal issues, workplace policies, and regulatory compliance.
- Manage pre-litigation matters, legal claims, and disputes while coordinating with outside counsel when specialized legal support is required.
- Design, implement, and refine legal workflows, contract templates, negotiation playbooks, and operational processes to improve efficiency and scalability.
- Stay informed of evolving laws and industry regulations impacting software, cloud technologies, digital platforms, and supply chain solutions, and communicate business implications to stakeholders.
- Deliver commercially focused legal counsel that balances risk management with the organization’s strategic and operational objectives.
Must-Have Skills:
- J.D. degree from an accredited law school and active bar membership in good standing with at least one U.S. state bar.
- 3–6 years of relevant legal experience, including law firm and/or in-house counsel exposure.
- Proven ability to prepare, review, and negotiate a wide range of commercial and technology-related agreements.
- Solid knowledge of contract law, corporate governance, and fundamental legal principles applicable to business operations.
- Capable of independently managing competing priorities while delivering high-quality work in a dynamic, high-growth technology environment.
- Sound commercial judgment with a practical, solutions-oriented approach to identifying and mitigating legal risk.
Nice-to-Have Skills:
- In-house legal experience within a SaaS, technology, software, or digital supply chain business.
- Background in data privacy, information security, and compliance.
- Experience with software licensing, cloud services, or enterprise customer agreements.
- Global business experience.
