We are seeking a highly experienced and strategic General Counsel with at least 8 years of relevant legal experience to lead legal and compliance functions for U.S. operations, while also providing legal support to the company’s Australian operations. This is a key leadership role responsible for delivering practical legal counsel, managing legal risk, ensuring compliance with regulatory requirements, and partnering closely with executive leadership and business teams to support the company’s continued growth and success.

Key Responsibilities

Lead the U.S. compliance function, including privacy compliance, franchise law oversight, annual Franchise Disclosure Document (FDD) updates, franchise sales compliance, and marketing compliance.

Draft, review, and negotiate a wide range of commercial agreements, including confidentiality agreements, vendor contracts, data processing agreements, master services agreements, statements of work, and contract amendments.

Manage and protect the company’s intellectual property portfolio, including trademarks and domain names, and oversee IP-related disputes and litigation.

Advise on and support mergers and acquisitions, including due diligence, transaction execution, and post-acquisition integration.

Manage relationships with outside counsel to obtain specialized legal advice in key jurisdictions and subject areas.

Advise on employment-related matters, including EEO compliance, wage and hour laws, non-compete agreements, independent contractor relationships, hiring practices, and compensation policies. Draft and update employment policies, agreements, and handbooks.

Take on additional legal and compliance responsibilities as needed to support evolving business priorities.

Qualifications & Experience

J.D. degree from an accredited law school and active bar membership.

Minimum of 8+ years of legal experience, with a strong preference for candidates who have both law firm and in-house counsel backgrounds.

Demonstrated expertise in franchise law, corporate governance, employment law, commercial contracts, and regulatory compliance is preferred

Experience with mergers and acquisitions, including post-acquisition integration activities.
