Key Responsibilities
- Strategic Legal Advisory: Provide senior legal counsel on cross-border M&A, joint ventures, project investments and overseas business development across multiple jurisdictions.
- Transaction Management: Lead legal aspects of energy project acquisitions from origination through to closing, including SPA/SHA negotiation, due diligence coordination, regulatory approvals and closing mechanics.
- Common Law Expertise: Manage complex legal matters in common law jurisdictions, with strong focus on contract drafting, commercial negotiation, risk allocation and dispute prevention.
- Commercial Contracts: Review, draft and negotiate high-value commercial agreements, partnership arrangements and strategic external contracts.
- External Coordination: Manage relationships with external counsel, technical advisors and local partners to deliver efficient, commercially pragmatic legal solutions.
Requirements
- Postgraduate degree (LLM or above) from a recognized overseas law school
- Admission/qualification to practice in a common law jurisdiction; Hong Kong-qualified Solicitor/Barrister and UK-qualified Solicitor/Barrister are strongly preferred
- More than 5 years PQE with solid exposure to cross-border transactions, international project development or infrastructure investments under common law systems
- Mandatory experience in end-to-end legal management of overseas infrastructure project M&A — from Term Sheet through closing and post-completion integration
- Deep technical knowledge of common law contract principles, M&A mechanics and cross-border transaction structures
- Strong commercial acumen; able to balance legal risk with business objectives and think holistically across deal, financing and operational dimensions
- Fluent English and Mandarin
- Willing to travel
Additional Preferences
- Combined law firm and in-house experience preferred
- Familiarity with EPC, PPA, O&M agreements and renewable energy regulatory frameworks
- Experience working with multilateral development banks (EBRD, IFC, etc.) or export credit agencies (UKEF, etc.) is a plus
