Job Overview:
Anand and Anand seeks a highly motivated and experienced Corporate Lawyer to support the firm on a wide range of legal, regulatory, and commercial matters. This role requires strong experience in Corporate advisory, commercial contracts, real estate transactions, employment law, data privacy compliance and regulatory matters. The position is based in Noida Office.
A legal professional with relevant experience from a Tier-1 Law firm will be an ideal fit.

Key Responsibilities:
– Draft, review, negotiate, and finalize high stake commercial and transactional documents, including but not limited to service agreements, vendor agreements, collaboration agreements, licensing arrangements, non-disclosure agreements, construction contracts, real estate related documentation, leasing agreements, employment contracts, etc.
– Provide strategic legal and regulatory advisory on corporate and commercial matters, including cross-border transactions, data protection obligations, and compliance risks.
– Advise clients on data privacy and security laws, regulations, industry best practices, related legal and contractual obligations, and emerging privacy standards.
– Develop and conduct training programs and awareness initiatives on privacy and security related obligations and further develop privacy and data protection practices for clients.
– Assist clients in drafting and implementing internal policies, compliance frameworks, privacy statements, terms of service, Data Protection contracts, and related governance documentation in line with applicable laws and best practices.
– Independently handle real estate matters, including title diligence, acquisitions, leasing transactions, development arrangements, land use advisory, and regulatory compliance relating to property matters.
– Advice on employment and labour law matters, including employment contracts, HR policies, employee separations, disciplinary proceedings, workplace issues, and statutory compliance requirements.
– Liaise and negotiate with counter parties, consultants, regulatory authorities, and external stakeholders in connection with ongoing transactions and advisory mandates.
– Provide pre-litigation and dispute advisory support arising from contractual, corporate, employment, and real estate matters, where required
– Draft, vet, and negotiate agreements and transactions involving emerging technologies, including artificial intelligence tools, automated systems, and technology-enabled platforms.
– Collaborate and actively engage with government think tanks and industry bodies to shape policy proposals pertaining to regulatory frameworks surrounding AI and data protections laws.
– Advisory and commercial contracts related work for clients focused on AI including but not limited to advising on automated bot contests, promotional events, consumer protections in line with applicable laws and regulation in India.
– Stay abreast of developments in corporate law, technology law, data privacy, employment law, and real estate regulations relevant to the Firm’s practice areas.
– Actively contribute to business development by bringing in clients, generating new business opportunities, developing referral networks and contributing to expanding the Firm’s corporate and advisory practice and cultivate long-term client relationships.
– Engaging in ambassadorial engagements like representing the Firm in industry forums, conferences, networking events etc. to strengthen the Firm’s market visibility

Desired Qualification &
Experience:
– Law degree (LL.B./LL.M.) from a Premier Law School.
– 6 – 8 years of relevant work experience in handling Corporate advisory, commercial contracts, real estate transactions, employment law, data privacy compliance and regulatory matters.
– Hands on experience on range of aspects involving Artificial Intelligence.
– Prior experience with a Tier
-1 Law firm
– Experience with technology, cloud services, marketing and analytics laws and regulation.
– Expertise in advising on global compliance frameworks in order to meet the responsibilities detailed above.
