Position Overview
We are currently seeking an experienced Corporate Governance Specialist on behalf of our client for a part-time contract opportunity. This position will support the Corporate Secretary function and play a key role in board administration, corporate governance activities, regulatory compliance, and corporate records management. The successful candidate will bring strong governance experience, exceptional attention to detail, and the ability to work effectively with senior stakeholders in a complex corporate environment. This opportunity is ideal for a governance professional who can quickly integrate into an established team and provide immediate support across a broad range of corporate secretarial responsibilities.
Contract Details
- Contract Position
- Part-Time (approximately 20 hours per week)

Key Responsibilities
- Coordinate Board of Directors and Committee meetings, including scheduling, preparation, review, and distribution of meeting materials.
- Prepare, proofread, and publish board and committee materials through governance platforms.
- Assist with the development of agendas, resolutions, presentations, and governance documentation.
- Draft and maintain accurate meeting minutes and records.
- Support the administration of board portal systems and governance technology platforms.
- Maintain corporate records, minute books, entity information, officer and director records, and governance documentation.
- Assist with domestic and international corporate and regulatory filings.
- Support legal entity management activities and governance compliance requirements.
- Conduct legal and factual research relating to corporate governance matters.
- Assist with the maintenance of governance policies, procedures, and standard operating documentation.
- Facilitate approval workflows and document execution processes.
- Coordinate notarization and certification of corporate documents when required.
- Process and maintain governance-related approvals, records, and documentation.
- Support responses to internal and external governance, compliance, and commercial information requests.
- Review and proofread governance and corporate documentation to ensure accuracy and consistency.
- Partner with Legal, Tax, Finance, Compliance, and other internal business functions.
- Liaise with external service providers, filing agents, law firms, and professional advisors as required.
- Support senior leadership and governance stakeholders through effective communication and coordination.
- Assist in managing recurring governance activities and reporting requirements.
Required Qualifications
- Associate Degree, Paralegal Certificate, or equivalent qualification.
- Minimum of 3 years' experience supporting corporate governance, corporate secretarial, legal entity management, or related functions.
- Experience supporting Board of Directors and Committee meetings.
- Strong corporate records management experience within a complex corporate environment.
- Demonstrated legal and governance research capabilities.
- Excellent written and verbal communication skills.
- Strong organizational skills with the ability to manage multiple priorities and deadlines.
- High degree of accuracy and attention to detail.
Preferred Qualifications
- Bachelor's Degree.
- Experience supporting governance activities within a large, multi-entity organization.
- Familiarity with domestic and international corporate filing requirements.
- Experience administering board portal software and governance management platforms.
- Exposure to complex corporate structures, subsidiaries, or joint venture environments.
- Experience working within Legal, Corporate Secretary, Governance, or Compliance functions.
