Job Summary
We are looking for a Corporate Counsel to join a small, technically literate legal team supporting Bitmine and its subsidiaries, including MAVAN. The team's remit is broad, and so is this role.
- Corporate & Public Company Execution: Supporting a NYSE-listed group through SEC periodic and current reporting, governance, Section 16 coordination, equity administration, comprehensive board matters, policy management, corporate secretarial work across US and international entities, and intercompany arrangements.
- Commercial: Negotiating staking and validator services agreements with global custodians, exchanges, and asset managers, covering liability frameworks, indemnities, slashing risk, and fee structures. Handling vendor and infrastructure agreements, MSAs, NDAs, and token-related commercial arrangements.
- Regulatory & Operational Compliance: Managing KYC, KYB, and AML/CFT onboarding of institutional clients, privacy and data protection, cybersecurity, and insurance program support. Conducting regulatory research across the US, Australia, the UK, and the EU on questions like the treatment of non-custodial staking, custody arrangements, and digital asset disclosure.
A Typical Day
Might involve turning a mark-up of a staking agreement, preparing a monthly report on transaction monitoring, researching a regulator's latest guidance, preparing onboarding documentation for a new institutional client, and helping prepare a board resolution. You will do all of it with a supportive team around you and experienced external counsel alongside. Be confident, communicate clearly, propose considered paths, and you will do well. Given the frequent interaction with BMNR leadership, SEC counsel, auditors, and board matters, having this person close to the team in Norwalk is highly valuable.
Key Responsibilities
- Assist with public company regulatory and governance matters, including support for SEC periodic and current reporting, NYSE listing standards compliance, Section 16 coordination, equity administration, board matters, and disclosure controls processes.
- Support the drafting, negotiation, and ongoing monitoring of service level agreements with institutional clients and key vendors, including performance metrics, service credits, and remediation processes.
- Assist with policy drafting and management, risk assessments, and compliance reporting obligations.
- Conduct monthly transaction monitoring reporting.
- Process KYC, KYB, and AML/CFT onboarding under the supervision of the Legal Team.
- Maintain contract databases, legal precedent libraries, and SLA reporting across institutional client engagements.
- Support transactional work across the group, including commercial agreements, MSAs, and NDAs.
- Conduct regulatory research across the US and other jurisdictions, with a focus on digital asset regulations and non-custodial staking.
- Support engagement with regulators, custodians, and external counsel across multiple jurisdictions.
- Support intercompany arrangements and entity administration across US and international group entities.
- Manage DocuSign workflows and the contract lifecycle from engagement through execution and renewal.
- Support corporate secretarial work across US and other entities, including resolutions, registers, and filings.
- Improve and manage internal processes through the structured use of AI tooling, document automation, and internal data systems.
- Support privacy and data protection compliance across the group, including US state privacy laws (e.g., CCPA/CPRA), data processing agreements, privacy notices, and incident response support.
- Support the group's insurance programs, including renewals, broker coordination, and policy reviews.
- Assist with public company regulatory and governance matters, including support for SEC periodic and current reporting, NYSE listing standards compliance, and disclosure controls processes.
Key Requirements
- A JD with admission (or eligibility for admission) to at least one US state bar (New York bar preferred but not required) and 2–5 years of relevant experience is preferred.
- Strong capability in public company execution, including SEC reporting support, governance, and board matters.
- Genuine working interest in US federal securities and commodities regulations. Familiarity with the 1933 Act, 1934 Act, Investment Advisers Act, Commodity Exchange Act, and the Bank Secrecy Act is highly valued.
- Working understanding of Ethereum, public blockchain infrastructure, and proof-of-stake mechanics, or a rapid willingness to develop one. Knowledge of validator economics and consensus client architecture is a plus.
- Familiarity with US privacy and data protection frameworks (e.g., CCPA/CPRA and other state privacy laws) is a plus.
- Demonstrated use of AI tooling in workflows, including research, drafting, and analysis.
- Experience in financial service adjacent regulation, capital markets, and the economics of public blockchain networks.

Compensation and Benefits
- Indicative Base Salary Range: $135,000 to $190,000 annually.
- Actual compensation will depend on location, experience, and qualifications.
