  • Base salary is max $175,000.

The Role

We are seeking a Corporate Counsel to help build and steward our public‑company reporting and governance function in the early stages of life as a listed company. You will play a central role in SEC reporting, board governance, and capital markets compliance, while partnering closely with Finance, HR, and executive leadership.

Key Responsibilities

Public Company Reporting & Securities Compliance

  • Lead preparation, review, and filing of SEC reports, including Forms 10‑K, 10‑Q, 8‑K, proxy statements, and Section 16 filings
  • Manage compliance with the Securities Act, Exchange Act, and related SEC rules
  • Partner with Finance on quarterly and annual reporting cycles and earnings disclosures
  • Maintain disclosure controls and support disclosure committee processes

Corporate Governance

  • Support Board and committee governance, including materials, resolutions, and corporate records
  • Advise on evolving best practices around insider trading, executive compensation disclosures, and governance standards
  • Assist with Audit, Compensation, and Nominating & Governance committee matters

Capital Markets & IPO‑Related Support

  • Support ongoing post‑IPO compliance and capital markets activity
  • Coordinate with external counsel on listing requirements and SEC matters
  • Advise leadership on governance, compliance, and investor‑facing communications

Employment & HR Legal Support

  • Advise on employment law and workforce compliance matters
  • Draft and review employment agreements, policies, handbooks, and executive compensation documents
  • Partner with HR to scale processes appropriate for a public company

Cross‑Functional Legal Advisory

  • Collaborate with Finance, HR, and operational teams to identify and manage legal risk
  • Support internal policies related to ethics, governance, data protection, and AI usage
  • Provide support on commercial agreements with regulatory or public‑company implications

Qualifications

Required

  • J.D. from an accredited law school; active U.S. bar membership
  • 5+ years of legal experience, including meaningful exposure to:
  • Public company securities law
  • SEC reporting and disclosure requirements
  • Corporate governance and board support
  • Experience at a public company or advising public companies in private practice
  • Strong ability to manage deadline‑driven reporting cycles with precision and judgment

Preferred

  • Experience supporting an IPO or early post‑IPO company
  • Employment or HR law experience
  • Background in technology, AI, aerospace, defense, or other highly regulated industries
  • Familiarity with Nasdaq/NYSE governance requirements and proxy advisor guidelines
