Role Description
This is a full-time remote role for a Corporate Attorney. We are searching for a team-oriented, self-motivated and entrepreneurial-minded attorney with experience in M&A transactions and corporate finance transactions who has a working knowledge of secured transactions, general corporate governance, and entity formation and structure. Familiarity with federal and state securities laws, and/or transactional work for insurance agencies and insurance carriers is preferred, but not required.
Qualifications
The ability to play a key supporting role in complex M&A transactions from start to finish including, but not limited to, due diligence, preparation and review of disclosure schedules, drafting ancillary documents, and leading certain closing mechanics;
The ability to handle lead negotiation and drafting for small to middle market M&A transactions from start to finish, with limited oversight;
Excellent drafting skills, including the ability to independently draft, review and revise M&A, finance and other various corporate transaction documents with little oversight and high attention to detail;
Experience with transactional due diligence and planning;
Familiarity with corporate governance principles;
Excellent communication skills with clients and colleagues;
Desire and ability to collaborate and communicate with colleagues and clients on transactions, projects and firm initiatives;
Organized, creative and curious individual with motivation to continually learn, the ability to independently resolve legal and drafting issues after research and analysis, and the inherent drive to complete complex tasks properly in a high-paced environment;
Ability to solve business needs of the clients with a pragmatic, solution-oriented legal approach;
Desire to be a part of growing team of attorneys building a unique, niche transactional practice;
Experience in advising insurance agencies and companies through corporate transactions and regulatory matters is preferred, but not required.

You can be located in Central Pennsylvania or can work remotely (within the United States) with periodic travel to Central Pennsylvania. You will be eligible for annual bonuses based on performance.
