Supporting the Legal and Contracts Department, the Contracts Analyst will be responsible for carrying out global contractual analysis with a view to providing feedback to the business relating to legal and commercial risk.  Assisting in negotiations to gain more favourable contractual terms; and drafting various tailored contractual documents from time to time.  The Contracts Analyst will report to the Head of Legal. 

Roles & Resposibilities

  • Carrying out global contract review and analysis of customer contracts, general terms and conditions for sale and purchase, supply contracts, confidentiality agreements, and agent and partner agreements in order to evaluate contractual risk against group standard contracting principles. 
  • Identifying potential risks, discrepancies or issues in contractual terms and recommending strategies to mitigate them.
  • Providing feedback to business on the analysis carried out (matrix and/or red-line) and assist, where required, in negotiating contracts in order to gain more favourable contractual terms for the group.
  • Provide global contractual ITT and RFQ review support, identification and assessment of risk and mitigations, draft qualifications.
  • Attending meetings with customers and suppliers in order to provide contractual guidance.
  • Collaborate with supply chain, commercial and finance teams for all relevant matters pertaining to contractual analysis: tax implications, performance bonds / parent company guarantees, insurance matters.
  • Considering business requirements and proposing a contractual solution with a view to drafting an appropriate contractual document, including but not limited to Framework Agreements, Service Contracts, Supply of Goods Contracts and Representation Agreements.
  • Interpreting existing contractual terms in order to advise business of contractual obligations and/or potential exposures.
  • Assist with preparation, filing and administration of documents and records, ensuring they are stored properly and can be easily retrieved for review or audit.  Maintain and update group contract risk register.
  • Liaise where necessary with in-house legal counsel and Commercial Director.

Qualifications, Experience & Skills

  • Undergraduate degree in relevant discipline.
  • Good written and verbal communication skills and the ability to interact effectively with all levels of management to convey necessary information;
  • Ability to serve as a resource to others in the resolution of problems and issues.
  • Highly organised, methodical and good analytical skills with close attention to detail;
  • Proficient IT Skills in use of Microsoft Office.
  • Three (or more) years’ experience working in a commercial environment with the ability to assess contractual risk.
  • Good understanding of practical / technical delivery of oil and gas / energy contracts.
