Commercial and Contracts Counsel
This position will work in the Company’s legal department to provide support to the Americas with a particular focus on contract, commercial and other legal, risk, compliance and related (LRC) matters. This position reports to the General Counsel. This is a hybrid position reporting onsite one week each month.
RESPONSIBILITIES:
Drafting, review, advice on, negotiation and support conclusion of contracts, including sales, pricing, confidentiality, consulting, service and other agreements.
Support the company regarding commercial claims and litigation as requested.
Provide risk assessments of such contracts and other matters.
Support development and maintenance of contract training, templates and guidelines.
Collaborate with the LRC team in the drafting, review and negotiation of contracts
Other duties and miscellaneous projects as needed.
REQUIRMENTS:
Education: J.D., LLM or equivalent degree in the US.
Bar Membership: Member of the Illinois bar in good standing.
Experience: 4+ years of professional experience as an attorney with a reputable law firm or corporation focused on contracts and commercial matters (including M&A).
Advanced proficiency in Microsoft Office Suite, especially Word, SharePoint, Teams, One Drive, Excel, and PowerPoint
Experience with Thomson Reuters Legal Tracker and DocuSign a plus
Excellent and deep experience in drafting, commenting on, negotiating and closing various commercial agreements. M&A experience a plus.
Ability to handle multiple requests under tight deadlines
Experience with and high skill in working and communicating in an international work environment
Strong self-sufficiency and able to work independently, as well as in team settings
Demonstrated curiosity in learning new subject matter and skills and in receiving feedback well
Exceptional attention to detail, and follow-up skills
Highly organized
Reason logically and analyze situations accurately to recommend next steps
Ability to maintain absolute integrity of confidential information
Travel – 10%
