This newly created position offers an outstanding opportunity to develop within a successful and established aviation finance and leasing platform and to work on exciting and unique transactions across the entire aviation finance landscape. Reporting to the General Counsel, the AVP Legal will provide support to members of the legal and contracts teams and will be responsible for coordinating the closing of new aircraft and engine purchases, sales, financings and lease agreements.
Responsibilities:
- Assist and support transaction lawyers in project management of transactions through documentation phase to contract signature and closing
- Assist with the negotiation and drafting of lease agreements, sale agreements, guarantees, and condition precedent documents.
- Actively participate in and managing transaction closings, including document execution process
- Ensure that all documentation is completed to meet deadlines and in accordance with company standards and compliance guidelines
- Create KYC and document signing packs and manage the KYC/AML processes
- Manage transactions from inception to completion, including tracking of conditions precedent, closing processes and post completion management.
- Draft, review, negotiate and agree ancillary documentation, such as lease amendments, side letters, LOIs, term sheets, conditions precedent and corporate approvals.
- Co-ordinate and managing input from technical, credit, finance and commercial departments in transaction due diligence process.
- Liaise with airlines, banks, aircraft buyers and sellers, manufacturers and maintenance providers.
- Liaise with outside counsel in all relevant jurisdictions when required.
- Liaise with corporate service providers in various jurisdictions to establish and manage special purpose companies
Required Skills and Experience
- Qualified solicitor with 2-5 years PQE in an aircraft leasing and finance environment
- Outstanding attention to detail.
- Knowledge of corporate structures and experience with corporate governance matters.
- Good time management skills, and ability to multi-task and prioritise workload.
- Willingness to take responsibility.
- Good communication skills – ability to deal with customers and senior management and be receptive to instruction.
- Drafting skills.
- Flexible, a strong team player, open to new ideas and robust.
- Ability to work under pressure and maintain responsiveness during transaction cycles.
