Position Description

The Associate Counsel will support Eneon’s growing business by owning and advancing key transactions that enable Eneon’s work across customer, vendor, and project counterparties. This role will take meaningful ownership of transactional negotiations and documentation, and will work closely with the Deputy General Counsel, senior management, and cross-functional collaborators within the business.

Key responsibilities include:

Transaction leadership

  • Lead legal workstreams that support Eneon’s commercial and project execution objectives.
  • Draft, review, negotiate, and finalize transactional documents with customers and vendors, prioritizing deal velocity, risk clarity and management, and business alignment.
  • Support and, where appropriate, oversee legal aspects of closings, including closing deliverables.
  • Commercial contracts

    • Draft and negotiate a range of commercial agreements, such as: master supply agreements, project agreements, service agreements, NDAs, statements of work, and other operational contracts as needed.
    • Identify recurring issues and propose/draft practical improvements to templates and base forms to streamline future negotiations.

    Cross-functional partnership

    • Perform legal diligence and provide diligence guidance for counterparties and transactions, surfacing key risks and recommendations clearly and early.
    • Work with internal teams to advance individual transactions and broader company goals.
    • Remain actively informed on current issues, emerging trends and evolving laws and regulations that impact the company and the broader industry, and implement that knowledge to support informed decision-making.

    Required Qualifications

    • 2–5 years of relevant experience.
    • Demonstrated experience drafting and negotiating commercial contracts and transaction-type agreements.
    • Ability to step into negotiations quickly with minimal ramp-up, exercising strong judgment with appropriate oversight.
    • Excellent interpersonal, written and oral communication skills.
    • Well-organized and hardworking, with the ability to thrive in a fast-paced work environment.
    • Ability to manage numerous projects simultaneously under tight timelines.
    • A high level of intellectual, professional, and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills.
    • In-house experience, specifically with experience negotiating and drafting on behalf of a vendor or other commercial counterparty, is preferred.
