Smith is a leading independent distributor in the semiconductor industry. We have been operating since 1984 with global headquarters in Houston together with 18 other international offices.

Smith is seeking a highly motivated and results-oriented Associate Legal Counsel to join our dynamic team. In this role, you will play a crucial part in supporting the business by proactively identifying and addressing legal and compliance challenges. You will work closely with business leaders and cross-functional teams across Finance, HR, Accounting, and Operations to provide expert legal advice on a wide range of matters, including commercial contracts, corporate law, and other key legal areas. Essential Duties and Responsibilities:

Review, draft, and negotiate a variety of sales and procurement related contracts (including customer and vendor applications, terms and conditions of sale and purchase, non-disclosure agreements, framework agreements);

Advise on compliance matters with international import/ export laws and regulations;

Provide legal advice and support legal activities at Smith EMEA;

Work and collaborate closely with other colleagues from the legal department internationally;

Handle and make decisions on complex matters with different stakeholders across the organization;

Collaborate closely with HR and leadership on employment matters, including reviewing contracts, policies, and providing guidance on disciplinary actions, terminations, and investigations

Qualifications, Skills & Competencies:

Master’s degree in law with 1-3 years of relevant experience in-house as part of an international organization or in an international law firm;

Good knowledge of commercial contracting;

Willingness to learn and assume responsibility for employment law-related tasks

A commercial sense of relevant legal issues with an ability to get things done;

An independent, result-oriented mindset, and strong advisory skills;

Enthusiasm, positive energy, flexibility, and an entrepreneurial spirit;

The ability to interact with multiple levels in an international organization and in multiple jurisdictions;

The capability to adapt to a fast-paced environment;

The ability to work effectively with global legal and compliance teams, with an international mind-set;

Excellent command of English, both written and spoken.
