We are seeking a highly motivated senior-level associate with 5+ years substantive experience in business transactions, private equity, securities offerings, and mergers & acquisitions. Candidates should possess superior communication, drafting, writing, and research skills and excellent analytical and critical-thinking skills.
Key Responsibilities:
Negotiating and drafting business agreements;
Closing private equity and venture capital investment transactions;
Drafting private placement offerings for small businesses and investment funds;
Organizing companies, including limited liability companies and corporations; and drafting all organizational documents.
Requirements:
JD; candidates with 5+ years business, financial or tax qualifications (LL.M., CFP, CPA, MBA, MST)
Law Review or Business Law Journal experience preferred
Proficient in Microsoft Office, with emphasis on Word.
Excellent written and oral communication skills.
Detail oriented with exceptional organization.
Flexibility to adapt to changing priorities in a positive and timely manner while producing a high-quality work product.
