Position Summary

A well-established private investment and real estate organization is seeking a highly motivated Associate General Counsel to support the General Counsel and collaborate closely with senior attorneys and business leaders across the enterprise. The ideal candidate will bring strong experience in real estate, corporate, and general transactional matters and thrive in a dynamic, in-house legal environment supporting a diverse portfolio of businesses and investments.

Key Responsibilities

  • Provide legal advice and support on a broad range of corporate, real estate, and transactional matters affecting the organization and its affiliated entities.
  • Partner with business teams on complex real estate transactions, including acquisitions, dispositions, financings, joint ventures, and other strategic investments.
  • Draft, review, and negotiate a wide variety of commercial agreements, including service agreements, consulting agreements, technology contracts, confidentiality agreements, and other operational documents.
  • Support entity governance, corporate maintenance, board approvals, and internal recordkeeping requirements.
  • Coordinate due diligence efforts and assist with internal approval processes related to transactions and corporate initiatives.
  • Manage and collaborate with outside counsel on complex legal matters, including transactional, financing, and litigation-related work.
  • Interface directly with senior leadership, stakeholders, and affiliated entities regarding legal and business issues requiring practical, business-oriented guidance.
  • Conduct legal research, analysis, and drafting relating to policies, procedures, regulatory developments, and strategic initiatives.
  • Assist in monitoring litigation, disputes, and claims matters across the enterprise.

Qualifications

  • J.D. from an accredited law school with strong academic credentials.
  • Licensed to practice law in Texas or eligible to become licensed in Texas.
  • Minimum of 5 years of experience as a corporate, transactional, real estate, or finance attorney, preferably with a leading law firm and/or sophisticated in-house legal department.
  • Meaningful experience supporting commercial real estate transactions and transactional deal teams.
  • Exposure to joint venture structures, investment vehicles, co-investments, or complex transaction structuring is preferred.
  • Strong contract drafting, negotiation, and analytical skills with sound business judgment.
  • Ability to effectively advise and communicate with executives, business leaders, and external advisors.
  • Proven ability to manage multiple priorities and complex projects in a fast-paced environment.
