JOB PURPOSE

To support the provision of legal services across UEM Lestra Berhad’s corporate and project portfolios, particularly within the renewable energy. The role focuses on delivering sound legal support in contract management, project documentation, and transactional activities to ensure regulatory compliance, minimise legal exposure, and facilitate timely execution of business initiatives.

JOB ACCOUNTABILITIES / KEY RESULT AREA

1) Legal Advisory & Corporate Support

  • Provide legal support and guidance to management and business units on corporate, commercial, and project-related matters under the supervision of the Senior Manager, Legal.
  • Support day-to-day corporate legal operations including governance, compliance, and company policy matters.
  • Draft, review, and assist in the negotiation of commercial contracts, partnership agreements, and other legal documentation.
  • Identify potential legal risks and escalate with proposed mitigation measures for further review.

2) Project Legal Support

  • Support the legal aspects of project development, implementation, and financing activities.
  • Assist in drafting, reviewing, advising, and coordinating project-related agreements including.
  • Shareholders’ Agreements (SHA)
  • Power Purchase Agreements (PPA)
  • Engineering, Procurement & Construction (EPC) Contracts
  • Operations & Maintenance (O&M) Contracts
  • Financing and Security Agreements
  • Liaise and coordinate with internal stakeholders, external counsel, regulators, and project partners to support smooth project execution.

3) Due Diligence & Transactional Support

  • Assist in conducting and coordinating legal due diligence for potential investments, mergers, acquisitions, or divestments.
  • Review and summarise findings, highlight key risks, and support the preparation of recommendations to management.
  • Support transaction structuring to ensure compliance with applicable laws, regulations, and contractual obligations.

4) Support the management of disputes and litigation matters, including coordination with external counsel and internal stakeholders.

5) Conduct legal research and analysis to support business decision-making. Monitor and keep abreast of new regulations and legislative developments, particularly in renewable energy and related investments.

6) To work closely with internal team including Business Development, Development Division, Finance Division and other stakeholders to support legal documentation, clarifications, and approvals.

7) To support business growth through providing compliance policies, and strategic and operational legal guidance to senior management.

MINIMUM ESSENTIAL QUALIFICATIONS & TECHNICAL COMPETENCIES

Formal Education

Bachelor’s Degree in Law (LLB) or equivalent. Admission to practice law in Malaysia (or a relevant jurisdiction) would be an added advantage.

Skills / Knowledge / Qualifications

  • Minimum 5 – 8 years of post-qualification experience in corporate and project legal work, preferably with exposure to renewable energy, infrastructure (highway/railway), or large-scale project financing.
  • Strong expertise in contract law, corporate law, project financing structures, and regulatory compliance.
  • Familiarity with renewable energy regulatory frameworks, government policies, and industry practices.
  • Excellent communication, analytical, and negotiation skills.
  • Strong interpersonal and communication skills, with the ability to influence stakeholders at all levels.
  • High degree of integrity, professional judgment, and commercial acumen.
