Job Purpose
The incumbent will play a critical role in streamlining the legal vetting and documentation processes across various financial segments, including SME financing, Employee House Building Loans, and lease agreements for the General Administration Division (GAD). This position ensures strict adherence to national laws, regulatory frameworks, and the internal policies and guidelines of the Bank.
Job Responsibilities
Land Vetting & Title Verification
- Conduct comprehensive searches and title verification for land and properties proposed for purchase, lease, or mortgage.
- Thoroughly review and verify the chain of ownership and all relevant land documents, including CS, SA, RS, BS/City Jorip Khatians, Mutation (Namjari) Parcha, DCR, and up-to-date Land Tax (Khajna) receipts.
- Identify any legal encumbrances, disputes, pending litigations, or discrepancies in property documents and provide risk mitigation strategies.
- Verify original documents physically and, when necessary, coordinate with external lawyers or agencies for vetting at Sub-Registry Offices, AC (Land) Offices, and Settlement Offices.
- Conduct legal vetting (In House), Draft & prepare charge documents for SMEs, Employee House Building Loan (EHBL) and lease agreements of GAD, ensuring compliance with regulatory and institutional policies.
Drafting & Legal Documentation
- Draft, review, and finalize a wide range of land-related legal documents, including but not limited to Sale Deeds (Saf Kabla), Mortgage Deeds, Irrevocable General Power of Attorney (IGPA), Lease Agreements, and Redemption Deeds.
- Prepare comprehensive legal opinions regarding the acceptability of properties as collateral or for acquisition.
- Ensure all documentation complies with the Transfer of Property Act, Registration Act, State Acquisition and Tenancy Act, and internal company policies.
Compliance & Advisory
- Stay updated on amendments to property laws, stamp duties, and registration fees in Bangladesh (e.g., updates to the Companies Act, Registration Act, etc.).
- Advise management and relevant business units on legal risks associated with property transactions and provide actionable solutions.
- Maintain an organized, up-to-date repository of all vetted land documents and legal opinions for internal audits and regulatory compliance.
- Provide proactive, in-depth legal advisory support for business initiatives and the implementation of SMEs within established standards.
- Ensure regulatory compliance and mitigate legal risks through diligent review and structured documentation processes.
External Liaison
- Coordinate with external legal counsels, law firms, and panel lawyers regarding complex property disputes or land-related litigation.
- Communicate with local government authorities, land offices, and sub-registrars as required to facilitate smooth document registration and mutation processes.
Educational Qualification & Experiences
- LLB (Honors) and LLM from a globally or locally reputed university.
- At least 3 years of experience in relevant field
Technical & Behavioral Skills:
- Extensive knowledge of the land laws of Bangladesh, including land survey systems, mutation processes, and document registration procedures.
- Outstanding drafting skills in both Bengali and English.
- Strong analytical skills with a keen eye for detail to spot fraudulent or forged documents.
- Ability to work independently, manage multiple files simultaneously, and meet strict deadlines.
- Excellent communication and negotiation skills.
