Job Purpose
Supervise legal operations, manage complex legal matters related to real estate development and corporate affairs, and provide strategic legal support to senior management.
Key Responsibilities
Real Estate Legal Matters
• Manage legal matters related to real estate development, including residential projects, land acquisitions, and property transactions
• Conduct due diligence for property acquisitions, joint ventures, and development projects
• Negotiate and finalize complex real estate contracts and agreements
• Advice on land use rights, zoning regulations, and development permits
• Coordinate with government agencies for project approvals and licenses
Corporate Legal Management
• Support and oversee the setup of new companies, including preparation of legal documentation and regulatory compliance
• Manage corporate restructuring, mergers, acquisitions, and joint ventures
• Ensure corporate compliance including statutory filings, licensing requirements, and governance policies
• Conduct internal legal audits and implement compliance programs
• Supervise corporate secretarial functions and board governance
Contract Drafting & Negotiation
• Draft, review, and negotiate high-value contracts, agreements, and legal documents
• Lead contractual negotiations with developers, investors, tenants, and service providers
• Identify and mitigate contractual risks and exposures
• Establish standard contract templates and approval processes • Advise business units on contractual terms and obligations
Stakeholder Management
• Work closely with external legal advisors, law firms, and consultants
• Liaise with government agencies, regulatory bodies, and licensing authorities
• Collaborate with internal departments including Finance, HR, Sales, and Operations
• Represent the Company in external engagements, including commercial negotiations, stakeholder meetings
• Represent the company in dispute res
Required Qualifications
• Bachelor's degree in Law (master’s degree or LLM preferred)
• AM1: 4-5 years of legal experience in real estate, corporate, or commercial law
• Strong expertise in Vietnamese real estate law, corporate law, and commercial regulations
• Proven experience in property transactions, land acquisitions, and development projects
• Experience in corporate structuring, M&A, and compliance management
• Excellent contract drafting, negotiation, and analytical skills
• Strong business acumen and strategic thinking
• Experience in supervising and mentoring junior staff
• Excellent English proficiency (written and verbal)
• Strong interpersonal and stakeholder management skills
• Ability to work under pressure and manage multiple complex projects
• Professional certifications (e.g., Bar admission) are advantageous
