Our client is a global industrial manufacturing company with a strong international footprint across Asia-Pacific, Europe, and the Americas. Shanghai serves as the regional headquarters for APAC, supporting both manufacturing operations in China and commercial activities across the wider region.
The APAC business operates through a combination of direct operations and distributor networks, requiring close legal support across commercial transactions, supply chain activities, compliance matters, and corporate governance.
Position Summary
We are seeking a commercially minded and independent legal professional to support the APAC business across a wide range of legal and compliance matters working alongside the APAC Legal Director.
Key Responsibilities:
Commercial Contracts & Business Support
- Draft, review, negotiate and advise on a broad range of commercial agreements across the APAC region.
- Provide day-to-day legal support to commercial, sales, procurement, supply chain, and operations teams.
- Identify legal and commercial risks and develop pragmatic solutions aligned with business objectives.
Manufacturing & Operational Legal Support
- Support legal matters arising from manufacturing and operational activities, including supplier management, operational risk assessment, and related contractual issues.
- Advise business stakeholders on legal issues impacting production, sourcing, logistics, and supply chain operations.
- Assist with employment-related legal matters and coordinate with external counsel where necessary.
Compliance & Corporate Governance
- Support regional compliance initiatives and policies
- Assist with corporate governance, entity management, and corporate secretarial matters across APAC jurisdictions.
- Conduct legal and compliance training for internal stakeholders.
Disputes & External Counsel Management
- Assist in the management of commercial disputes, customer claims, litigation, arbitration, and pre-dispute matters.
- Coordinate and manage external counsel across multiple APAC jurisdictions.
- Monitor legal spend and evaluate the quality and effectiveness of external legal support.
Requirements:
Education & Qualifications
- LL.B. degree from a reputable university.
- PRC Legal Qualification Certificate required.
- Overseas legal education (LL.M., J.D., or equivalent) is advantageous.
Experience
- Approximately 4-7 years of post-qualification legal experience.
- Candidates from either of the following backgrounds are welcome:
- In-house legal counsel experience within a multinational corporation; or
- Private practice experience at a reputable law firm serving multinational clients.
- Exposure to manufacturing, industrial, engineering, automotive, chemicals, machinery, or other industrial sectors is highly preferred.
Technical Competencies
- Strong experience in commercial contracting and general corporate legal matters.
- Familiarity with distribution models, supply chain arrangements, procurement contracts, and cross-border business transactions.
- Ability to independently manage legal matters with limited supervision.
- Experience handling compliance projects, employment-related issues, and dispute management would be advantageous.
Language Skills
- Fluent written and spoken Mandarin to draft, review, and negotiate legal documents in Chinese and communicate effectively with Mandarin-speaking cross-border counterparties.
- Fluent business English with the ability to draft, review, and negotiate legal documents in English.
