岗位职责：
1、全面负责美元基金的发行与管理过程中的法律事务，包括基金销售、分销协议的制定与审核。
2、负责起草、审核各类对外合作协议及供应商服务协议，确保合同合规性与安全性。
3、高效应对并处理可能发生的境内外法律诉讼，维护公司合法权益。
4、协助保障公司港股、美股上市合规及公司治理相关事宜，落实两地上市公司治理相关合规要求，包括两会日常事务、信息披露等。
职位要求：
1、教育背景：拥有境内外LLM学位，来自国内外知名法学院校，英文水平出色。
2、工作经验：至少4 – 6年金融律师或法务相关工作经验，其中在律师事务所工作不少于三年，私募基金律师，熟悉美元公募与私募基金设立和销售相关文件的处理优先，有外资金融机构法律服务经验者优先。纯并购或资本市场背景律师也可以考虑，但必需具备快速学习并适应金融法务工作需求的能力。
3、语言技能：普通话为必须，能够熟练使用英语作为工作语言，擅长起草和审核英文法律文件。
Legal Director
Responsibilities:
1. Take overall responsibility for legal matters arising in the offering and management of USD funds, including the preparation and review of fund sales and distribution agreements.
2. Draft and review external cooperation agreements and vendor service agreements, ensuring that contracts are compliant and protect the company’s interests.
3.Manage and resolve any domestic or cross-border litigation efficiently, safeguarding the company’s legal rights and interests.
4. Support compliance with Hong Kong and U.S. listing requirements and related corporate governance matters, implementing the governance and compliance obligations applicable to a dual-listed company, including day-to-day board and shareholders’ meeting matters and information disclosure.
Requirements
1.Education: LL.M. or J.D. from a top-tier law school in China or overseas; excellent command of English.
2.Experience: At least 4 – 6 years of relevant experience as a financial services lawyer or in-house counsel, including no less than three years in private practice at a law firm. Private funds lawyers, and candidates familiar with the documentation involved in the formation and distribution of USD-denominated public and private funds, are preferred. Experience advising foreign financial institutions is a plus. Candidates with a purely M&A or capital markets background will also be considered, provided they can learn quickly and adapt to the demands of financial legal work.
3.Languages: Mandarin required. Must be able to use English as a working language, with strong skills in drafting and reviewing English-language legal documents.
