Position Overview

The Holton Company, LLC is seeking an experienced Director of Legal and Financial Affairs to provide strategic leadership in financial management, trust and estate oversight, and investment strategy while ensuring compliance with legal and regulatory requirements. This critical role ensures the financial health of the company, supports estate and wealth management objectives, and oversees high-level administrative functions. The ideal candidate will have a proven track record in managing complex financial operations, optimizing investment returns, and collaborating with key stakeholders on estate and tax compliance. Additionally, this position offers a unique opportunity to play a pivotal role in a $100MM+ transaction divestiture process, driving strategic initiatives that shape the future of the company. Key Responsibilities

Legal & Financial Leadership

Provide strategic leadership in financial operations and legal compliance, ensuring alignment with corporate governance and regulatory requirements.
Oversee the development and execution of financial policies while integrating legal frameworks to mitigate risk.
Lead financial planning, budgeting, and reporting processes.
Develop financial models and long-term financial projections to support business growth and risk management.
Collaborate with internal and external stakeholders to optimize financial structures and investment strategies.

Trust & Estate Administration

Manage and oversee family trusts, ensuring compliance with fiduciary responsibilities and estate planning objectives.
Conduct legal reviews of trust documents and oversee coordination with external estate attorneys.
Provide guidance on asset protection strategies and tax-efficient estate planning solutions.
Ensure legal compliance with federal and state trust regulations, mitigating legal risks for beneficiaries.

Asset & Liability Management

Develop and implement asset protection strategies in alignment with corporate and estate planning goals.
Oversee the management of liabilities, ensuring financial soundness in structuring obligations.
Monitor and evaluate financial and legal risks associated with asset holdings and investment structures.
Advise on financial risk exposure and develop risk mitigation strategies.

Investment & Business Strategy

Conduct financial due diligence on investment opportunities, ensuring alignment with corporate growth strategies.
Oversee investment structures and collaborate with external financial advisors to optimize returns.
Structure and execute investment transactions, including private equity, venture capital, and other asset classes.
Provide analysis and reporting on investment performance and risk factors.

Business Acquisitions & Divestitures

Lead financial structuring of mergers, acquisitions, and divestitures.
Conduct due diligence on acquisition targets, assessing financial risks.
Oversee financial modeling and transaction structuring for optimal valuation and integration.
Ensure seamless financial and operational integration during divestitures and acquisitions.

Regulatory & Compliance Oversight

Develop and implement compliance programs to align with corporate governance best practices.
Stay abreast of changes in legislation affecting financial and estate planning strategies.
Ensure tax compliance in all corporate transactions, minimizing risk exposure.
Liaise with regulatory agencies and financial advisors to manage compliance matters effectively.

Collaborative Management with PVG Clinics

Partner with PVG executives to oversee financial operations of the clinics.
Ensure adherence to healthcare financial regulations, revenue cycle management (RCM) best practices, and electronic medical record (EMR) compliance.
Leverage AI-driven financial solutions to enhance efficiency and minimize risks.

Holton Family Foundation Management

Oversee the financial operations of the Holton Family Foundation, ensuring compliance with nonprofit regulations.
Develop and implement strategies for charitable giving that align with estate and tax planning benefits.
Manage foundation assets and ensure proper financial structuring for philanthropic initiatives.

Qualifications

Education: Juris Doctor (JD), Master’s in Business Administration (MBA), or CPA designation preferred.
Experience: 6+ years in finance, corporate law, trust/estate administration, and investment strategy.
Financial Expertise:
Deep understanding of U.S. estate, trust, and tax law.
Experience in mergers, acquisitions, and financial structuring.
Knowledge of regulatory compliance and corporate governance.
Technical Proficiency:
Strong background in financial modeling and risk assessment.
Familiarity with revenue cycle management, EMR systems, and healthcare compliance preferred.
Leadership Skills:
Proven ability to manage financial and administrative teams.
Strong negotiation skills and ability to structure complex financial transactions.
